Remote | Investment Funds Attorney — $90–$130/hour

We are sharing a specialised part-time consulting opportunity for experienced Investment Funds Attorneys with strong expertise in fund formation, fund management, contract negotiation, redlining, and private-funds documentation to contribute to an advanced legal AI training and contract-evaluation project.

Selected professionals will review and assess contract-redlining workflows, perform simulated negotiations, evaluate AI-generated legal responses, and help establish rigorous standards for investment-funds contract analysis and legal judgement. The opportunity is particularly suited to attorneys with hands-on experience in corporate law firms and sophisticated private-funds transactions.

Key Responsibilities

Investment Funds Documentation

• Review and analyse agreements used in private-funds and investment-management transactions
• Work with LPAs, subscription agreements, side letters, ISDAs, and related fund documents
• Identify contractual risks, inconsistencies, and drafting weaknesses
• Assess whether provisions accurately reflect fund structures and commercial objectives
• Apply professional investment-funds standards throughout document-review workflows

Contract Negotiation & Redlining

• Perform simulated contract negotiations and redlining exercises
• Evaluate alternative drafting positions and negotiation approaches
• Identify legal, commercial, and risk-allocation implications of proposed changes
• Refine contractual language for clarity, precision, and enforceability
• Maintain consistency across iterative negotiation and redlining tasks

AI Contract Evaluation

• Review AI-generated responses to investment-funds and contract scenarios
• Assess legal reasoning, drafting quality, and transactional judgement
• Identify inaccurate interpretations, weak redlines, or unsupported conclusions
• Evaluate whether proposed changes appropriately address legal and commercial risk
• Provide structured expert feedback supporting model improvement

Evaluation Frameworks & Grading

• Develop objective evaluation frameworks for investment-funds contract tasks
• Define criteria covering drafting quality, legal reasoning, negotiation judgement, and risk identification
• Establish consistent standards for evaluating AI-generated legal work
• Document why specific responses are strong, incomplete, or incorrect
• Support rigorous and repeatable model-evaluation workflows

Legal Collaboration & Quality

• Collaborate with product, research, and technical teams on contract-review initiatives
• Translate investment-funds expertise into clear and actionable feedback
• Help refine legal datasets, guidelines, and review standards
• Communicate complex fund-formation and transactional concepts across multidisciplinary teams
• Contribute to evolving best practices for AI-assisted legal analysis

Ideal Profile

• J.D. from an ABA-accredited law school
• Active bar admission in at least one U.S. jurisdiction
• Minimum of 2 years of experience in the funds department of a corporate law firm
• Strong experience with fund formation, fund management, and investment-funds transactions
• Familiarity with LPAs, subscription agreements, side letters, ISDAs, and related documentation
• Strong contract-drafting, negotiation, and redlining skills
• Excellent written and verbal communication skills
• Meticulous attention to detail and strong analytical judgement
• Ability to translate legal expertise into structured evaluation feedback
• Comfortable working with cross-disciplinary teams in fast-paced environments
• Interest in the intersection of law, technology, and AI
• Prior exposure to AI, legal technology, or related training initiatives is advantageous but not required

Engagement Details

• Part-time independent contractor engagement
• Fully remote
• Displayed compensation range: $90–$130/hour
• Actual compensation structure is task-based, with payment made per completed task that meets project specifications
• Average handling time is approximately 3.5 hours per task
• Effective hourly earnings may vary depending on task completion time and successful sign-off
• Work will involve investment-funds contract review, negotiation simulations, redlining, AI-output evaluation, and legal-quality framework development
• Strong fund-formation and transactional experience is central to this engagement
• Assignments may involve LPAs, subscription agreements, side letters, ISDAs, and related fund documentation
• Project scope, workload, agreement types, and evaluation standards may evolve depending on project requirements
• Work must be completed without using confidential or privileged information belonging to any employer, client, law firm, fund, institution, or other third party
