Role Overview
We are seeking an experienced, execution-focused Corporate Secretary Manager to join our client growing team. In this hands-on and client-facing role, you will oversee the full suite of corporate secretarial services, ensuring timely, accurate, and compliant delivery for a diverse portfolio of clients. You will also act as a key advisor on corporate governance, manage statutory compliance, and contribute to process improvements within our client tech-enabled environment.
This role requires a high degree of independence, attention to detail, and the ability to navigate evolving regulatory and technological landscapes.
Key Responsibilities
1. Corporate Secretarial & Compliance Management
- Manage the full spectrum of corporate secretarial services, including incorporations, AGM/EGM preparations, statutory changes, share transfers, and other corporate transactions.
- Prepare and submit timely filings via BizFile+ in compliance with the Singapore Companies Act and other relevant regulations.
- Maintain and update statutory registers, minute books, and corporate records.
- Ensure ongoing compliance for multiple entities within a client portfolio.
2. Client Advisory & Relationship Management
- Act as the primary point of contact for assigned clients, delivering practical, business-oriented advice on corporate governance and compliance.
- Liaise directly with founders, senior executives, and external advisors.
- Provide cross-border compliance support, coordinating with our US-based operations and external counsel where needed.
3. Documentation & Legal Support
- Draft and review board/shareholder resolutions, statutory forms, and straightforward agreements where legal counsel is not required.
- Interpret legal documents and advise on procedural requirements.
- Act as named Company Secretary and/or Nominee Director where required, fulfilling fiduciary duties with integrity.
4. Process, Technology & Workflow Enhancement
- Maintain checklists, filing logs, and version-controlled documents to ensure quality and accuracy.
- Identify and recommend process improvements to enhance efficiency and client experience.
- Adapt quickly to digital tools, workflow platforms, and emerging technologies in the corporate services space.
Requirements
- Experience: 4-5 years in corporate secretarial work, preferably within a corporate services provider, law firm, or in-house legal/compliance role.
- Qualifications:
- Preferably registered or eligible to register as a Qualified Individual (QI) and Registered Filing Agent (RFA) with ACRA.
- Technical Skills: Proficient in BizFile+, Microsoft Office, and digital workflow tools; comfortable adopting new technologies.
- Soft Skills: Strong communication, client management, and organisational skills. Able to work independently with minimal supervision.
- Other: High attention to detail, professional integrity, and a proactive approach to problem-solving.
