Our client operates a property development business

Work Location: Bangkok Thailand

Artemis is now seeking for a Company Secretary with at least 8-10 years of working experience.

Responsibilities

Conference

·         Prepare a meeting to facilitate the meeting.

·         Prepare a booklet for meeting documents (if any)

·         Information reporting to the SET, SEC and the Ministry of Commerce

·         Support the preparation of various reports to the Stock Exchange of Thailand and the SEC, including the prospectus (Filing) Form 56-1, Annual Report Such as tracking information from various agencies or creating booklets

·         Coordinate with outsource contractors, such as contractors, prepare booklets, annual reports

·         Operation section according to the principles of good corporate governance (CG)

·         Supervise the distribution channels for shareholders, investors or the general public.

·         Take care of CG documents to be current.

·         Prepare and submit an application for registration with the Ministry of Commerce.

·         Update the important documents of the company to be current

·         Post a newspaper in various businesses as required by law.

·         Collect data for the meeting agenda

·         Drafting the minutes of the meeting And the minutes of the meeting

·         Information reporting to the SET, SEC and the Ministry of Commerce

·         Prepare various reports to the SET and SEC, such as Form 56-1, annual report Stock distribution report of securities holdings of directors and executives

·         Draft company news to inform the Stock Exchange of Thailand website as Creator

·         Operation section according to the principles of good corporate governance (CG)

·         Supervise to have various assessments, both the evaluation of the board and internal units And evaluations from external agencies such as CGR Scorecard AGM Checklist or GRI

 

Section of registration of the company in the stock market

·         Implement the company to be ready and fully qualified to be a listed company.

·         Coordinate with external agencies involved in the preparation of prospectus.

·         Organize a meeting of the Board of Directors Executive Committee Audit Committee Risk Management Committee Corporate Governance Committee Nomination and Remuneration Committee And any other meetings that are central to the company Including preparing and publishing meeting invitations and meeting documents

·         Coordinate meeting appointments And facilitate the directors, executives and other attendees

·         Implement the meeting resolution Or inform the relevant person in writing

·         Information reporting to the SET, SEC and the Ministry of Commerce

 

 

 

·         Oversee, inspect and scrutinize information in reports or requests to the SET, SEC and the Ministry of Commerce. To be accurate, complete and timely

·         Coordinate to obtain the necessary information for such reports from directors, executives and related persons or agencies.

·         Operation section according to the principles of good corporate governance (CG)

·         Develop policies and guidelines to support the implementation of good corporate governance principles.

·         Propose to improve the processes of the company in order to comply with the principles of good corporate governance.

 

Compliance

·         Supervise and support the company to comply with relevant laws

·         Ensuring that the Company and its subsidiaries are in compliance with the agreement in the joint venture agreement. Or shareholder agreement

 

Requirements

 

·         Thai nationality

·         Fluent English Speaking

·         Working Experience 8 – 10 years at least 3 years in Real Estate

·         At least a Bachelor’s degree of Laws, Business Administration (Management), or Bachelor of Arts

·         Legal knowledge, limited company, public company and securities are preferred

·         Solid abilities in MS Office suite (Word, PowerPoint, Excel, and Outlook)
