Key Responsibilities

Contract Management

  • Drafting, reviewing, and finalizing NDAs, MOUs, Service Agreements, SOWs, and related contracts
  • Ensuring timely completion of legal sections in RFQ/RFP submissions
  • Preparing accurate and concise term sheets
  • Maintaining and updating the legal tracker and SharePoint repositories
  • Preparing quarterly status reports for management on contract management as per internal audit requirements

Intellectual Property Management

  • Handling registration and renewal of intellectual property
  • Maintaining and updating accurate IP records

Governance & Company Secretarial Support

  • Supporting finalization of board papers for BAC/BRCC and other committees
  • Assisting in preparation of agendas, minutes, resolutions, and compliance filings
  • Ensuring adherence to corporate governance standards and Axiata Group cosec reporting requirements (as applicable)

Compliance & Regulatory Matters

  • Assisting in BOI filings and regulatory documentation
  • Ensuring compliance requirements of internal audits, ISO audits, and related reporting
  • Supporting documentation submission and follow-up for audit reviews

General Legal Support

  • Providing day-to-day assistance in legal queries and documentation needs
  • Supporting responses to Letters of Demand (LODs) and other routine legal correspondence
  • Performing additional tasks assigned by the General Manager – Legal

Scope and Authority

Scope

  • Responsible for managing assigned legal, compliance, and corporate secretarial tasks
  • Acts as the custodian of legal records, trackers, and SharePoint updates
  • Supports contract lifecycle processes including drafting, review, negotiation, and execution
  • Coordinates with internal departments for completion of RFQ/RFP legal documentation
  • Provides support for audit processes (internal, ISO, regulatory)
  • Assists in preparing and finalizing board papers and related governance documentation

Authority

  • Authorized to liaise with internal teams, external vendors, auditors, and regulatory bodies for purposes related to assigned tasks
  • May draft and finalize routine legal documents (NDAs, MOUs, service agreements, SOWs) under guidance of the General Manager – Legal
  • Can escalate legal risks or compliance breaches to the General Manager – Legal
  • Maintains authority to manage intellectual property filings and record updates

Person Specifications

  • Bachelors degree in law (LLB) from a recognized university
  • 1–3 years of post-qualification experience in a corporate legal environment or law firm
  • Attorney-at-Law qualification from the Supreme Court of Sri Lanka
  • Additional certifications in corporate law, contract management, compliance, or company secretarial practice are an advantage
  • Experience in drafting, reviewing, and negotiating commercial contracts (NDAs, MOUs, MSAs, SOWs)
  • Providing corporate secretarial support and handling governance documentation (preferred)
  • Managing intellectual property registrations and records (advantageous)
  • Supporting compliance processes, RFP/RFQ documentation, or audit-related submissions
  • Exposure to working with regulatory authorities such as the BOI is preferred
  • Strong knowledge of contract law, corporate law, and commercial legal frameworks
  • Understanding of procurement-related legal requirements (RFP/RFQ)
  • Familiarity with company secretarial processes and governance principles
  • Knowledge of intellectual property registration
  • Excellent drafting, reviewing, and legal research skills
  • Strong attention to detail and accuracy in documentation
  • Proficiency in MS Office and SharePoint
  • Strong planning, coordination, and multitasking capabilities
  • Good communication and stakeholder management skills
