Role Overview

We're hiring a Lead M&A Analyst to lead the modeling and financial structuring of buy-side acquisitions across a high-volume pipeline. You'll create and validate acquisition structures, stress-test deal economics, and review Letters of Intent before they're sent to sellers.

This role is critical to how deals move from interesting to under contract. If you're fluent in financial logic and acquisition strategy and want to build deals that actually close this is for you.

What You'll Do 

  • Design and model deal structures: Build multiple structure options for each target (SBA + seller note, equity roll, earnouts) and model scenarios that balance buyer liquidity, lender approval, and seller expectations. 
  • Align structures with lending and ROI requirements: Ensure every proposed deal meets DSCR thresholds, lender guidelines, and long-term return objectives before advancing to offer stage. 
  • Oversee offers and LOIs: Support LOI drafting and revisions, and review partner-submitted offers for both commercial logic and structural accuracy.
  • Approve terms before submission: Review LOI recordings, validate deal terms against the financial model, and ensure offers are clean, enforceable, and aligned with execution strategy. 
  • Redline and refine LOIs: Clarify obligations, tighten language, and align terms with the intended structure to reduce risk and ambiguity in negotiations.
  • Analyze financials and risk exposure: Review historical financial performance, SDE trends, margins, and concentration risk to assess deal viability and lender readiness. 
  • Identify and escalate risks early: Flag structural, financial, or operational concerns before offers are submitted and collaborate with the deal team to finalize lender-ready packages. 

Ideal Experience

  • 2–5 years in M&A, private equity, corporate development, or transaction advisory.
  • Strong financial modeling skills in Excel or Google Sheets, ideally with SMB or lower-middle-market experience. 
  • Familiarity with SBA lending, seller financing, DSCR mechanics, and LOI structuring.
  • Backgrounds in investment banking, Big 4, or deal advisory are highly relevant.

  • The ability to think in terms of structure and outcomes, not just spreadsheet formulas. 
  • A track record of building deals that get funded and successfully close.
  • Strength in simplifying complex variables into clear, practical options.
  • A bias toward clarity, precision, and fast execution in deal environments. 
  • Motivation to contribute work that directly influences ownership outcomes.
