About the Role
We are seeking two highly skilled Senior Corporate Lawyers to support the legal operations of our Thai engineering centre. In this role, you will oversee entity management, ensure compliance with Thai regulations (including PDPA), manage commercial and IP-related contracts, and enable smooth cross-border funding and intellectual property flows.
This is a dynamic position within a fast-paced technology environment, where you will work closely with engineering, corporate, and international legal teams to ensure our developers can deliver products without legal or compliance obstacles.
Key Responsibilities
Entity & Board Management

Manage all corporate filings, including DBD annual returns, BOI/FBL renewals, and share-register updates.

Prepare bilingual board agendas, resolutions, and minutes promptly after meetings.
Commercial & IP Contracts

Draft and negotiate agreements including SaaS, software development, open-source, employment, and IP assignment contracts.

Prepare documents in English as the primary language, with Thai translations where required for filings.
PDPA & Privacy Compliance

Lead quarterly audits of DevOps pipelines, review test data handling, and ensure security measures are documented and implemented.

Coordinate with the Global Data Protection Officer on remediation and compliance actions.
Capital Movements

Structure and document capital injections, inter-company loans, and dividend distributions.

Liaise with Thai banks and foreign-exchange desks on compliance with FET form requirements.
Employment Support

Review employment-related documents, including offer letters, ESOP grants, and contractor agreements.

Manage labour disputes and liaise with external counsel on Work Permit and visa matters.
Regulatory Monitoring

Track changes in PDPA regulations, BOI policies, and software export controls.

Provide concise updates to Engineering leadership on potential impacts.
Process Development

Maintain contract templates, signing authority guidelines, and digital workflow systems for corporate governance.
Qualifications & Requirements

Thai-qualified lawyer with 8+ years of experience in corporate and commercial law within the technology sector.

Strong experience in PDPA implementation and familiarity with BOI incentives and FBL regulations.

Native or fluent Thai speaker with strong business-level English (draft-quality proficiency).

Proven ability to work across jurisdictions and collaborate with cross-functional, multicultural teams.

Excellent organizational skills with the ability to manage multiple priorities in a fast-paced environment.
