Background:
A corporate lawyer working for a Business Process Outsourcing (BPO) company will have a range of responsibilities related to legal matters and regulatory compliance within the context of the BPO industry. The principal goal will be to guarantee that all our companys transactions comply with labor laws and regulations, while actively helping our company avoid possible legal risks and violations
Success in this role will be demonstrated by working closely with executive management (President, VP and AVPs) and internal management team, providing timely and valuable inputs and solutions, and by helping management make sound and lawful business decisions that protect the long term interests of the company
Responsibilities:
Legal Compliance: Ensure that the company complies with all relevant laws and regulations, both in the Philippines and any other relevant jurisdictions (GE, US and other country of the companies branches). This includes labor laws, data protection regulations, intellectual property laws, and more
Contract Drafting and Review: Draft, review, and negotiate contracts with clients, vendors, and partners. This may include service level agreements (SLAs), confidentiality agreements, and other legal documents
Intellectual Property (IP) Protection: Manage and protect the company's intellectual property assets, including trademarks, patents, and copyrights. Ensure that the company's IP rights are not infringed upon and that it does not infringe on the rights of others
Labor and Employment Law: Advise on labor and employment law matters, including employment contracts, labor disputes, and compliance with wage and hour laws. Ensure that the company's employment practices are in accordance with the law
Data Privacy and Security: Address data protection and privacy issues, especially if the company deals with sensitive customer data. Ensure compliance with data protection regulations such as GDPR, HIPAA, or other applicable laws
Corporate Governance: Assist with corporate governance matters, including board meetings, shareholder relations, and compliance with corporate governance best practices (Secretarys Certificates, Board Resolutions and GIS)
Litigation Management: Handle or oversee legal disputes, including lawsuits filed against the company or legal actions initiated by the company. This may involve working with external law firms
Mergers and Acquisitions (M&A): If the company is involved in M&A activities, provide legal counsel on due diligence, negotiations, and the legal aspects of mergers, acquisitions, or divestitures
Regulatory Compliance: Stay updated on industry-specific regulations that may affect the BPO sector and ensure the company's compliance with them
Risk Management: Identify and mitigate legal risks that could impact the company's operations or reputation
Corporate Contracts and Policies: Develop, review and implement corporate policies and procedures that align with legal requirements and best practices
Training and Education: Provide legal training and guidance to employees and management to ensure that they understand and adhere to legal requirements
Government Relations: Interact with government agencies and regulators on behalf of the company to address regulatory issues or changes in legislation that could impact the BPO industry
Due Diligence: Conduct legal due diligence when the company enters into new business relationships or expands into new markets
Alternative Dispute Resolution: Explore alternative dispute resolution methods, such as arbitration or mediation, to resolve conflicts efficiently and cost-effectively
Carry out related responsibilities as company needs dictate
Qualifications:
Bachelors degree in Law
Passed the Philippine Bar Examination
At least 3 years of proven experience as a Legal Counsel in business environment
Working knowledge of contract law and data protection regulations
Relevant experience in contract management
Experience with corporate governance and corporate secretarial duties
Experience working in the BPO/Shared Services sector preferred, but not required
Exceptional drafting, proof-reading, and communication skills
Excellent organizational, time-management, analytical, and critical thinking skills
Ability to exercise sound, independent judgment, and take initiative to accomplish objectives in a timely manner with moderate supervision
Great attention to detail and ability to adapt to changing priorities
