Legal Counsel – Funds (Luxembourg)

We are currently seeking an experienced and driven Legal Counsel to join a leading international investment management firm based in Luxembourg.

The ideal candidate will take ownership of the legal and corporate activities for a diverse portfolio of funds, with a special focus on the Alternatives sector.

We are looking for a pragmatic, autonomous professional who thrives in a fast-paced, international environment and is comfortable interacting with a wide range of stakeholders.

The candidate will be involved in the following activities:

• Take ownership of the corporate life for a portfolio of funds, with a primary focus on Alternatives.
• Coordinate, draft, and review a wide range of legal and product documentation, including but not limited to Private Placement Memorandums (PPMs), Limited Partnership Agreements (LPAs), investor notices, and merger documentation.
• Support the development and structuring of new financial products and funds.
• Maintain and continuously improve legal procedures, template documents, and agreements to ensure best practices.
• Liaise effectively with various internal and external stakeholders, such as Portfolio Managers, Risk Management, Compliance/AML, Finance, Operations, Delegates, external law firms, and auditors.
• Manage the coordination of board meetings, as well as shareholder and investor meetings.

Requirements:

• Law degree (LL.M. or equivalent preferred)
• Minimum of 5 years' experience in funds legal, gained within a Management Company or a law firm advising asset managers
• Strong knowledge of EU financial regulations and Luxembourg (CSSF) regulatory framework
• Solid understanding of Luxembourg fund structures, including: UCITS, AIFs, Private Equity/Debt, and Real Estate funds
• Proven ability to manage complex workloads and meet tight deadlines
• Hands-on, solution-oriented mindset with strong team collaboration skills
• Fluency in English is required; additional European languages are a plus (Italian is highly valued)
