About the job Legal Counsel
Overview:
The Legal Counsel will provide comprehensive legal support to ensure the organizations operations, contracts, and transactions are compliant with applicable laws and aligned with business goals. The role involves reviewing agreements, managing corporate documentation, and providing sound advice on legal, regulatory, and corporate governance matters.
Responsibilities:
Contract & Advisory Support
- Review, draft, and negotiate a range of legal documents including commercial agreements, employment contracts, financing documents, and shareholder arrangements.
- Provide timely legal advice on contractual, regulatory, and operational matters.
- Support the resolution and management of potential and ongoing claims, disputes, and investigations.
- Contribute to the review and improvement of standard legal templates and documentation processes.
- Offer guidance on corporate governance and compliance with internal policies and relevant legislation.
Legal Research & Analysis
- Conduct in-depth legal research on diverse topics, ensuring findings are accurate and actionable.
- Summarize and communicate key insights to relevant stakeholders in a clear and concise manner.
- Monitor developments in laws and regulations affecting the organizations operations across multiple jurisdictions.
Documentation & Records Management
- Prepare and organize corporate and legal documentation, including resolutions, meeting materials, filings, and other regulatory submissions.
- Maintain a well-organized system for contracts, records, and deadlines to ensure accessibility and compliance.
- Assist in the registration, renewal, and management of trademarks, licenses, and intellectual property assets.
Communication & Coordination
- Draft formal correspondence, notices, and reports in compliance with legal or contractual obligations.
- Liaise with internal departments, clients, external counsel, and service providers to facilitate document execution, legalization, and apostille processes.
- Participate in meetings, documenting key decisions and action items as needed.
Additional Duties
- Undertake special projects or assignments that support the departments goals and the organizations strategic initiatives.
- Qualifications:
- Bachelors degree in Law from an accredited institution; admission to the Philippine Bar preferred.
- Minimum of five (5) years experience in a legal or corporate environment, preferably within a multinational or cross-border context.
- Background in commercial, corporate, or maritime law considered an advantage.
- Proven experience in contract drafting, compliance, and document management.
