Job Title: Assistant Manager - BPIA and Compliance

Department: Business Process and Internal Audit (BPIA) / Compliance
Reporting To: Head of BPIA

Job Purpose:

To support the BPIA and Compliance functions by conducting compliance audits, developing and monitoring Governance, Risk, and Compliance (GRC) frameworks, assisting in policy development and training, and providing advisory services to portfolio companies. The role is split between 60% BPIA and 40% Compliance responsibilities.

Key Responsibilities:

BPIA Function (60%)

  1. Development and Tracking of GRC Metrics
    • Assist in designing, implementing, and monitoring GRC metrics for portfolio companies to ensure IPO readiness.
    • Conduct quarterly follow-ups with relevant stakeholders and provide actionable recommendations to address identified gaps.
  2. Pre-Investment GRC Baseline Assessments
    • Utilize corporate hygiene checklists to assess GRC readiness for potential investments.
    • Identify gaps in governance, compliance, and risk frameworks and document recommendations for improvements.
  3. Value-Adding Services for Portfolio Companies
    • Deliver advisory services to portfolio companies focusing on operational efficiency, risk management practices, and compliance frameworks.
    • Demonstrate measurable impact by achieving process improvements or compliance adherence for participating companies.
  4. Support for Investigations and Internal Audits
    • Collaborate on investigations related to risk incidents, governance issues, or internal control breaches.
    • Assist in co-sourced or independent internal audits to ensure transparency and regulatory alignment.

Compliance Function (40%)

  1. Compliance Audit
    • Conduct compliance audits to assess adherence to policies, regulations, and LP obligations.
    • Provide actionable recommendations to close identified gaps and monitor their resolution.
    • Prepare audit reports and present findings to senior management.
  2. Policy Development and Implementation
    • Assist in the rollout of mandatory policies such as PIP, AMLA, BCP, and IT control policies.
    • Monitor the implementation of policies via the MCO enabler and ensure alignment with regulatory and LP obligations.
  3. Compliance Awareness and Training
    • Conduct compliance training sessions (jointly with HR) to improve awareness and reduce non-compliance incidents.
    • Develop user guides, SOPs, and educational materials to support training programs.
  4. Monitoring Compliance Programs
    • Track compliance declarations, monitor adherence to the personal investment policy, and ensure resolution of identified gaps within agreed timelines.
    • Ensure timely reporting and fulfillment of Side Letter Obligations for Limited Partners.

Skills and Competencies:

  • Technical Skills:
    • Strong knowledge of Governance, Risk, and Compliance frameworks.
    • Experience with compliance audits, internal audits, policy development, and risk assessments.
    • GRC experience in private equity industry is added advantage.
    • Proficiency in Risk Management and Internal Control Assessment.
  • Soft Skills:
    • Critical thinking and problem-solving.
    • Strong interpersonal and communication skills for stakeholder management.
    • Ability to manage multiple priorities and deliver within deadlines.

Qualifications:

  • Bachelors degree in Accounting, Finance, Business Administration, or a related field.
  • Professional certification in compliance, risk management, or auditing (e.g. CRMA, CFE) is an added advantage.
  • Minimum 6 years of relevant experience in compliance, internal audit, or GRC roles.

Work Environment:

  • 100% Work from office.
  • Occasional travel to portfolio company locations for audits or advisory services estimated 20% to 25%.

Reporting Relationships:

  • Reports directly to the Head of BPIA.
  • Works collaboratively with the Compliance and BPIA teams, as well as portfolio company stakeholders.

Key Performance Indicators (KPIs):

BPIA Role (60%)

  1. Development, implementation and follow up of GRC metrics.
  2. Timely completion of pre-investment GRC assessments.
  3. Measurable outcomes from value-adding services for portfolio companies.
  4. Completion of investigations or internal audits or internal control engagement within agreed timelines.

Compliance Role (40%)

  1. Effective execution of compliance audits with actionable recommendations.
  2. Timely rollout and monitoring of compliance programs and policies.
  3. Conducting compliance training with high participation rates and reduced non-compliance incidents.
  4. Timely closure of compliance gaps and meeting LP obligations.
