Senior Legal Counsel
About the job Senior Legal Counsel
Responsible for managing the legal aspects of commercial contracts, regulatory compliance, dispute resolution, administrative matters, and other legal transactions. Key duties include conducting legal research, drafting and reviewing legal documents, negotiating contracts, liaising with internal and external stakeholders, regulators, and external legal counsel, handling dispute matters and managing external counsel, conducting training on COBE and general legal awareness, proactively identifying, mitigating, and managing legal risks, overseeing internal governance policies, and regularly monitoring compliance and risk frameworks.
Key Accountabilities
- Contracts: Advice, review, negotiation and revision for contracts, policies, procedures, regulatory documents
- Risks: Analyze legal risks, opportunities, and options, and implement changes as appropriate related to the Company's goals, mission, and existing circumstances and how those may affect the overall operations and interests of the Company and the Shareholders.
- Stakeholder management: Liaise with shareholder legal teams in matters involving shareholders and high Company risks.
- Disputes: Management of litigation matters or claims or potential claims to which Company is or may be a party.
- Investigations: Review and support/conduct internal investigations into employee / whistleblowing complaints or concerns about potential violations of law or regulation. Recommend appropriate action. Liaise with external consultant(s) where required.
- HSE: Regular updating of the HSE Regulatory Compliance Register.
- Costs/Budget: Assist the General Counsel to prepare the annual legal budget. Manage expenses within the legal budget
- Tenders: Review contracts for ITB, evaluate exceptions to terms and conditions and any other legal and contractual issues raised during bidding, review letters of award/intent, advise General Counsel, User group and CCC on risks arising beyond Company risk assessment regime
- Insurance (offshore): Raise issues where insurance may be impacted, liaise with brokers and users on offshore insurance compliance, manage offshore insurance claims. Coordinate legal support and insurance activities in event of incident. Review incident reports and take action where insurance or contractual recourse available. Support Finance on Insurance renewals.
- Advisory: Provide legal advice to Line Departments as determined by General Counsel and support General Counsel in providing legal advice to Senior Management and Shareholders. Provide clarification on legal language or law Update General Counsel and management on new legal developments which impact Company.
- Industrial Relations: Advise HR Section on IR issues and in handling cases and liaising with external counsel.
- Company Secretarial: Undertake company secretarial functions as may be required.
- Corporate Governance: Educate employees and ensure compliance with Company Code of Business Ethics, raise and advise on issues which pose risk to Company corporate governance. Be familiar with internal governance policies and regularly monitor compliance. Undertake investigations as lead or team member as instructed by the General Counsel in relation to ethics, anti-corruption and similar governance matters, and report findings to the investigation lead and the General Counsel.
- Compliance: Educate, support and enforce compliance with laws and Company policies.
- Training: Provide awareness and training to the Company on Risk related issues, Legal issues. PSC/GSA/JOA/JOCA compliance and Company policies.
Qualification & Experiences
- Bachelor's Degree in law from a university or institution recognized by the Malaysian Bar.
- Minimum 7 years PQE in a corporation or a law firm.
- Experienced in corporate and commercial work
- Current knowledge of oil/gas/maritime industry preferred.
