Essential Duties and Responsibilities:
The overall objective of this role is to ensure that our group of companies conduct business operations in full compliance with regulatory requirements in their registered jurisdictions.
As Legal and Compliance Manager, you are responsible for ensuring a company function in a legal and ethical manner while meeting its business goals, governance procedures ensuring each department has properly documented control procedures in place and that these are updated appropriately, developing compliance programs, participating in Anti-Money Laundering (AML) monitoring, reviewing company policies, Anti-Bribery Management systems in place and advising management on possible risks, assisting with regulatory audits and annual statutory audits, conducting anti-fraud checks on clients, and analyzing trade and payment activities for abuse. Your work is essential to the company's sustainability and ambition.
Legal Functions:
- Handle corporate and legal matters such as those pertaining to banking and finance, corporate exercises, litigations, HR related matters, intellectual property, insurance, tribunal/dispute resolutions or any other related procedures.
- Provide legal advice and support to the Group and top management on all legal matters and participate in
any due diligence procedures in the course of business investment, analyzing the documentation as well as
drafting necessary reports. - Drafting, reviewing, and negotiating the terms of any agreements to safeguard the interests of the Group
and ensure that they are in compliance with internal policies and all applicable laws. - Perform legal research and to keep abreast with applicable laws relating to the Groups operations and advice on the impact of such changes on operations.
- Manage exposure of the Groups legal risks and enhance the Groups commercial and other interests in accordance with regulatory requirements.
- Liaise and coordinate with external solicitors and other third-party advisors on various legal, corporate and/or litigation matters.
- Resolve contractual and commercial problems whilst working with contract and procurement head/managers. Offer direction with regard to any legal matters.
Compliance (and Risk) Functions:
- Keep abreast with regulatory developments and conduct reviews to ensure the Groups compliance with
regulatory requirements, for instance those relating to anti-bribery and corruption, anti-money laundering,
etc. - Develop and implement regulatory compliance and risk management policies and processes.
- Assist the Heads of Department/Managers in the formulation of Policies and Procedures to mitigate risks.
- Identify compliance issues that require follow-up or investigation and formulate risk responses to address
any non-compliance. - Provide employee training on regulatory and internal policy compliance and drive a culture of risk and
compliance across the business units of the Group. - Support employees to address legal & compliance concerns in the course of their work for the Group.
Education and/or Work Experience Requirements:
- Minimum a bachelor's degree, Professional Certificate in Law, Economics, Risk Management, or similar degree: equivalent combination of education and experience may substitute for degree.
- Candidate must have been called to The Malaysian Bar with at least five (5) years of post-qualification working experience in an established law firm or in house legal team with strong drafting and contract negotiation skills.
- Candidate must also have at least three (3) years' experience in compliance, governance and/or auditing function.
- Ability to draft and review legal documents. competence in preparing license applications.
- Excellent presentation, communication, and interpersonal skills at all level and able to work independently
with minimum supervision in a dynamic environment. - Must be able to multi-task, manage time-sensitive documents and maintain confidentiality.
- Good analytical skills and sound legal judgement to support business needs.
