Job Description:

A US client is preparing to go public through a de-SPAC transaction and is seeking experienced SEC Reporting Consultants to support the preparation and filing of Form S-4. This engagement requires professionals with deep knowledge of SEC disclosure requirements and hands-on experience preparing registration statements for business combinations involving SPACs.

The ideal candidate will work closely with the COO, internal finance team, and external advisors to ensure timely submission of the S-4 before the targeted filing date for SEC review.

Key Responsibilities

  • Lead and support the drafting, review, and assembly of Form S-4 filing and related SEC documentation

  • Collaborate with cross-functional teams (Legal, Finance, External Auditors, Advisors) to collect necessary financial and operational inputs

  • Ensure full compliance with SEC regulations, disclosure standards, and de-SPAC reporting requirements

  • Assist in responding to SEC comment letters and making revisions to filings

  • Provide technical accounting and regulatory guidance as needed

  • Manage timeline and deliverables to meet the target pre-Christmas filing deadline

Qualifications

  • Minimum 3-5 years of relevant SEC reporting and public company experience

  • Strong background in S-4 filings, de-SPAC transactions, or business combinations

  • CPA preferred; Big Four or top-tier advisory experience a plus

  • Excellent technical accounting, financial reporting, and project management skills

  • Ability to work under tight deadlines in a fast-paced transaction environment
