Job Summary
The Legal Counsel for Contracts and Special Projects will provide comprehensive legal support to the Corporation and its subsidiaries, with a primary focus on contract management, regulatory compliance, and complex or non routine transactions. The role involves reviewing, drafting, negotiating, and advising on commercial agreements, supporting strategic projects, and coordinating closely with internal stakeholders, regulators, and external counsel to ensure legal soundness and risk mitigation.Duties and Responsibilities
KEY FUNCTIONS/DUTIES AND
RESPONSIBILITIES:
PRIMARY LEGAL SUPPORT
· Provide timely and pragmatic legal
advice to various departments and subsidiaries on a wide range of legal,
regulatory, and commercial matters.
· Interpret and apply applicable laws,
rules, and regulations to business transactions and operational issues.
· Identify legal risks and propose commercially
sound solutions aligned with the Company’s objectives.
CONTRACT REVIEW, NEGOTIATION, AND MANGEMENT
· Review, negotiate, and approve
contracts and agreements, including those presented by counterparties, to
protect the Company’s rights and manage risk.
· Develop, update, and continuously
improve standard contract templates based on legal developments, regulatory
requirements, and transactional experience.
· Participate in and support contract
negotiations to ensure alignment with approved commercial, legal, and risk
parameters.
CONTRACT AND LEGAL DOCUMENT DRAFTING
- Draft and revise contracts, memoranda,
agreements, letters, and other legal documentation for both routine and
non‑routine transactions.
- Prepare demand letters, responses, position
papers, and official communications with counterparties and government
agencies.
- Modify existing agreements to address transaction‑specific
or exceptional circumstances, including transactions outside the ordinary
course of business.
PUBLIC BIDDING AND SPECIAL PROJECTS

Provide
legal support for public biddings, unsolicited proposals, and special or
confidential transactions involving national and local government units.

Prepare, review, and advise on documentation
required for special permits, licenses, and regulatory approvals.

Assist
in regulatory strategy formulation and compliance with applicable procurement,
bidding, and approval processes.
CORPORATE SECRETARIAL AND REGULATORY SUPPORT
· Assist in the preparation of Board
Resolutions, Secretary’s Certificates, and related corporate governance
documents required for transactions.
· Attend Board and Committee meetings, as
needed, and support the preparation of minutes and post‑meeting documentation.
· Assist in the drafting and review of
corporate charter documents, including incorporation documents and amendments
(e.g., increase in capitalization, changes in corporate information).
· Support regulatory disclosures and compliance
submissions to the SEC, PSE, and other regulatory bodies, in coordination with
the Office of the Corporate Secretary and relevant teams.
· Provide support in intellectual
property matters, including trademark registration, renewal, and protection of
Company IP assets.
LEGAL
MANAGEMENT AND EXTERNAL COUNSEL COORDINATION

Maintain and update legal databases,
document repositories, trackers, and status reports for contracts, corporate
records, and special projects.

Utilize and manage internal legal systems and
tools (e.g., LMS, DSR, resolution trackers, stock and transfer book systems).
·
Coordinate with external counsel on
assigned matters, including monitoring deliverables, reviewing legal opinions,
and managing costs.

Provide legal updates, reports, and risk
assessments to Management as required.
OTHER
DUTIES
Perform other legal functions and responsibilities as may be assigned by Management or required by business exigencies.
Technical Competencies and Skills

• LLB or JD degree • At least 2-3 years of relevant legal experience, preferably in an in house corporate environment • Demonstrated experience handling complex legal matters, with working knowledge on corporate and commercial law, contract drafting and negotiation, employment and labor law, intellectual property law
