2. ELIGIBILITY TO APPLY
By submitting an application through this Platform, you represent and warrant that:
2.1 You are at least 18 years of age or older
2.2 You are legally authorized to work in the United States
2.3 You possess the educational qualifications, licenses, and certifications you claim to hold
2.4 All information provided in your application is true, accurate, complete, and current
2.5 You have the legal right to share all information and documents you submit
2.6 You are not subject to any agreement or restriction that would prevent you from working with HealthPro Innovation
2.7 You have not been excluded from participating in federal healthcare programs

3. APPLICATION PROCESS
3.1 Account Creation
When creating an account on our Platform, you agree to:
• Provide accurate, complete, and current information
• Maintain and promptly update your account information
• Maintain the security and confidentiality of your login credentials
• Notify us immediately of any unauthorized use of your account
• Accept responsibility for all activities that occur under your account
3.2 Application Submission
By submitting an application, you acknowledge that:
• Submission does not guarantee employment or an interview
• HealthPro Innovation reserves the right to reject any application at any time for any lawful reason
• Application materials become the property of HealthPro Innovation and will not be returned
• We may retain your application and associated documents in accordance with our retention policies
• We may contact you via email, phone, text message, or other means regarding your application
3.3 Application Accuracy
You certify that all information provided in your application is truthful and complete. You understand that:
• False, misleading, or omitted information may result in disqualification or termination
• HealthPro Innovation reserves the right to verify all information provided
• You authorize HealthPro Innovation to contact references, employers, educational institutions, and licensing boards
• Misrepresentation may result in permanent ineligibility for future employment

4. BACKGROUND CHECKS AND SCREENING
4.1 Consent to Background Screening
By submitting your application, you authorize HealthPro Innovation Workforce Solutions, LLC and its designated third-party screening providers to conduct comprehensive background investigations, which may include but are not limited to:
• Criminal history checks (federal, state, and county)
• Employment verification
• Education verification
• Professional license and certification verification
• Reference checks
• Credit history (where permitted by law and job-related)
• Motor vehicle records (for positions requiring driving)
• Drug and alcohol screening
• Health screenings and immunization records
• OIG/GSA Exclusion List searches
• Social Security number verification
• Sex offender registry checks
4.2 Fair Credit Reporting Act (FCRA) Compliance
You acknowledge that background checks may be obtained for employment purposes in compliance with the Fair Credit Reporting Act (FCRA). You will receive a separate disclosure and authorization form as required by FCRA before any consumer report is obtained.
4.3 Drug and Alcohol Testing
Healthcare positions require compliance with drug-free workplace policies. You consent to:
• Pre-employment drug screening
• Random drug and alcohol testing during employment
• Post-accident and reasonable suspicion testing
• Testing as required by client facilities or regulatory agencies
4.4 Health Screening and Immunizations
Healthcare positions require proof of immunizations and health clearances, including but not limited to:
• Tuberculosis (TB) screening
• Hepatitis B vaccination or declination
• MMR (Measles, Mumps, Rubella)
• Varicella (Chickenpox)
• Tdap (Tetanus, Diphtheria, Pertussis)
• Influenza (annual)
• COVID-19 vaccination (as required by client facilities)
• Annual health assessments

5. PRIVACY AND DATA PROTECTION
5.1 Collection of Information
HealthPro Innovation collects personal information including but not limited to:
• Contact information (name, address, phone, email)
• Social Security number
• Date of birth
• Employment history
• Education credentials
• Professional licenses and certifications
• References
• Background check results
• Health information (for clearance purposes only)
• Immigration status and work authorization documents
5.2 Use of Information
Your information may be used to:
• Evaluate your application and qualifications
• Conduct background checks and verification
• Communicate with you regarding employment opportunities
• Comply with legal and regulatory requirements
• Maintain records in accordance with state and federal law
• Match candidates with client facility requirements
• Credentialing and privileging purposes
5.3 Information Sharing
Your information may be shared with:
• Client healthcare facilities considering you for placement

HealthPro Innovation retains applicant information in accordance with applicable laws and business needs. Applications may be kept active for up to one year, after which you may need to reapply or update your information.
5.6 Your Rights
Depending on your location, you may have rights regarding your personal information, including:

6. AT-WILL EMPLOYMENT
You understand and acknowledge that:
• Submission of an application does not create an employment contract
• If hired, employment is "at-will" and may be terminated by either party at any time, with or without cause or notice
• No representative of HealthPro Innovation has authority to enter into any agreement contrary to the at-will relationship except through a written agreement signed by an authorized officer
• These Terms do not constitute a promise or guarantee of employment
• HealthPro Innovation reserves the right to modify employment terms at any time

8.1 Platform Content
All content on this Platform, including but not limited to text, graphics, logos, images, software, and design, is the property of HealthPro Innovation Workforce Solutions, LLC and is protected by copyright, trademark, and other intellectual property laws.
8.2 Limited License
You are granted a limited, non-exclusive, non-transferable license to access and use the Platform solely for the purpose of applying for employment with HealthPro Innovation. You may not:
• Copy, modify, or distribute Platform content
• Use automated systems to access or collect data from the Platform
• Reverse engineer or attempt to extract source code
• Remove or alter any proprietary notices
• Use the Platform for any commercial purpose

9. PROHIBITED CONDUCT
You agree not to:

• Attempt to gain unauthorized access to the Platform or related systems
• Interfere with the proper functioning of the Platform
• Violate any applicable laws or regulations
• Harass, threaten, or abuse HealthPro Innovation staff or other applicants
• Use the Platform for any unlawful or unauthorized purpose
Violation of these prohibitions may result in:
• Immediate termination of Platform access
• Disqualification from current and future employment consideration
• Legal action, including criminal prosecution
• Referral to appropriate authorities

10. ELECTRONIC COMMUNICATIONS AND SIGNATURES
10.1 Consent to Electronic Communications
By using this Platform, you consent to receive communications from HealthPro Innovation electronically, including:
• Email notifications regarding your application status
• Text messages (SMS) to the phone number provided
• Platform notifications and alerts
• Employment-related documents and disclosures
You agree that electronic communications satisfy any legal requirement that communications be in writing.
10.2 Electronic Signatures
You acknowledge that your electronic signature on application documents has the same legal effect as a handwritten signature.
10.3 Opt-Out
You may opt out of non-essential communications by:
• Using the unsubscribe link in emails
• Replying STOP to text messages
• Updating your communication preferences in your account settings

Note: You cannot opt out of essential employment-related communications.

11. CREDENTIALS AND LICENSURE
11.1 Healthcare Professional Requirements
If applying for a healthcare position, you represent that you:
• Hold all required professional licenses and certifications in good standing
• Have disclosed any limitations, restrictions, or disciplinary actions
• Will maintain active licensure and certifications throughout employment
• Will immediately notify HealthPro Innovation of any license suspension, restriction, or revocation
• Authorize HealthPro Innovation to verify credentials with licensing boards
11.2 Credential Verification
You authorize HealthPro Innovation to:
• Contact state licensing boards and certification organizations
• Request primary source verification of credentials
• Review disciplinary history and board actions
• Access national practitioner data banks (NPDB) as applicable
• Verify continuing education compliance
11.3 Multi-State Licensure
For positions requiring multi-state practice, you agree to:
• Obtain and maintain necessary state licenses
• Comply with Nurse Licensure Compact (NLC) or other compact agreements
• Notify HealthPro Innovation of any changes in licensure status
• Provide copies of all active licenses

12. CONFIDENTIALITY AND NON-DISCLOSURE
12.1 Confidential Information
During the application and interview process, you may be exposed to confidential information about HealthPro Innovation, including:
• Business strategies and client relationships
• Proprietary processes and methodologies
• Financial information
• Client facility information
• Other applicant or employee information
12.2 Obligation of Confidentiality
You agree to:
• Maintain strict confidentiality of all proprietary information
• Not disclose confidential information to third parties
• Not use confidential information for personal benefit
• Return or destroy any confidential materials upon request
12.3 Duration
Your confidentiality obligations continue indefinitely, even if you are not hired or after termination of employment.

13. DISCLAIMER OF WARRANTIES
THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:
• Warranties of merchantability or fitness for a particular purpose
• Non-infringement
• Accuracy, reliability, or completeness of content
• Uninterrupted or error-free operation
• Security of data transmission
HealthPro Innovation does not warrant that:
• The Platform will meet your specific requirements
• Platform operation will be timely, secure, or error-free
• Results obtained from Platform use will be accurate or reliable
• Defects will be corrected

14. LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
14.1 HealthPro Innovation Workforce Solutions, LLC, its officers, directors, employees, agents, and affiliates SHALL NOT BE LIABLE for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:
• Loss of profits or revenue
• Loss of data or information
• Loss of business opportunity
• Costs of substitute services
• Personal or professional harm
14.2 This limitation applies regardless of the theory of liability (contract, tort, negligence, strict liability, or otherwise) and even if HealthPro Innovation has been advised of the possibility of such damages.
14.3 IN NO EVENT SHALL HEALTHPRO INNOVATION'S TOTAL LIABILITY EXCEED $100 OR THE AMOUNT PAID BY YOU (IF ANY) TO ACCESS THE PLATFORM, WHICHEVER IS GREATER.
14.4 Some jurisdictions do not allow limitation of liability for certain damages, so these limitations may not apply to you.

15. INDEMNIFICATION
You agree to indemnify, defend, and hold harmless HealthPro Innovation Workforce Solutions, LLC, its affiliates, officers, directors, employees, agents, and representatives from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from:
• Your use or misuse of the Platform
• Your violation of these Terms
• Your violation of any law or regulation
• Your violation of any rights of third parties
• False or misleading information provided in your application
• Any content you submit through the Platform
• Your negligence or willful misconduct
This indemnification obligation will survive termination of your use of the Platform and any employment relationship.

16. MODIFICATIONS TO TERMS
16.1 Right to Modify
HealthPro Innovation reserves the right to modify, amend, or update these Terms at any time, at our sole discretion. Changes will be effective upon posting to the Platform.
16.2 Notice of Changes
We will indicate the "Last Updated" date at the top of these Terms. Material changes may be communicated via:
• Email notification to registered applicants
• Prominent notice on the Platform
• Pop-up notification upon login
16.3 Continued Use
Your continued use of the Platform after changes are posted constitutes acceptance of the modified Terms. If you do not agree to the modified Terms, you must discontinue use of the Platform.

17. TERMINATION
17.1 Termination by You
You may terminate your use of the Platform at any time by:
• Ceasing to access the Platform

17.2 Termination by HealthPro Innovation
HealthPro Innovation reserves the right to suspend or terminate your access to the Platform at any time, with or without notice, for any reason, including:
• Violation of these Terms
• Suspicious or fraudulent activity
• Inactivity for an extended period
• Legal or regulatory requirements
• Business reasons
17.3 Effect of Termination
Upon termination:
• Your right to access the Platform immediately ceases
• You remain liable for all obligations incurred prior to termination
• Provisions that by their nature should survive termination remain in effect
• HealthPro Innovation may retain your information as required by law or business needs

18. DISPUTE RESOLUTION
18.1 Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Illinois, without regard to its conflict of law provisions.
18.2 Venue and Jurisdiction
You agree that any legal action or proceeding arising out of or relating to these Terms or your use of the Platform shall be brought exclusively in the state or federal courts located in the State of Illinois. You consent to the personal jurisdiction of such courts and waive any objection to venue.
18.3 Informal Resolution
Before initiating formal proceedings, you agree to contact HealthPro Innovation to attempt to resolve disputes informally by contacting:

18.4 Informal Resolution
Before initiating any formal legal proceedings, both parties agree to attempt
to resolve disputes through good faith negotiation. Either party may request
an informal meeting to discuss the dispute within thirty (30) days of the
dispute arising.
18.5 Governing Law and Venue
Any disputes that cannot be resolved informally shall be governed by the
laws of the State of Illinois and brought exclusively in the state or federal
courts located in DuPage County, Illinois. Both parties consent to the
jurisdiction of such courts.
18.6 Preservation of Legal Rights
Nothing in these Terms limits or waives any rights you may have under
federal, state, or local employment laws, including but not limited to
anti-discrimination laws, wage and hour laws, or other statutory protections.
Any statute of limitations shall be governed by applicable law.

19. MISCELLANEOUS PROVISIONS
19.1 Entire Agreement
These Terms, together with our Privacy Policy and any other agreements referenced herein, constitute the entire agreement between you and HealthPro Innovation regarding use of the Platform and supersede all prior agreements and understandings.
19.2 Severability
If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.
19.3 Waiver
No waiver of any term or condition shall be deemed a further or continuing waiver of such term or any other term. HealthPro Innovation's failure to enforce any right or provision shall not constitute a waiver of that right or provision.
19.4 Assignment
You may not assign or transfer these Terms or your rights hereunder without HealthPro Innovation's prior written consent. HealthPro Innovation may assign these Terms without restriction.
19.5 No Third-Party Beneficiaries
These Terms do not create any third-party beneficiary rights except as expressly stated.
19.6 Force Majeure
HealthPro Innovation shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to acts of God, war, terrorism, labor disputes, or government actions.
19.7 Headings
Section headings are for convenience only and do not affect interpretation of these Terms.

20. SPECIFIC STATE DISCLOSURES
20.1 Illinois Applicants
In compliance with Illinois law:
• HealthPro Innovation does not discriminate based on arrest record unless related to job duties
• You have the right to review background check reports and dispute inaccuracies
• Certain criminal convictions may only be considered if related to job responsibilities
• Biometric data (if collected) is handled in accordance with the Illinois Biometric Information Privacy Act (BIPA)
20.2 California Applicants (if applicable)
• You have rights under the California Consumer Privacy Act (CCPA)
• We do not sell personal information
• You may request disclosure of information collected and its use
• Contact our Privacy Officer for CCPA-related requests
20.3 New York City Applicants (if applicable)
• In compliance with NYC Fair Chance Act, we do not inquire about criminal history until after a conditional offer
• Salary history inquiries are prohibited
