WELCOME TO THE HEALTHPRO REFERRAL PROGRAM
Thank you for your interest in referring qualified healthcare professionals to HealthPro Innovation Workforce Solutions, LLC ("HealthPro Innovation," "we," "us," or "our"). Our Employee Referral Program rewards individuals who help us identify and recruit exceptional talent for our healthcare staffing needs.
By submitting a referral through our platform, you ("Referrer," "you," or "your") agree to be bound by these Referral Terms and Conditions ("Referral Terms"). Please read these terms carefully before submitting any referral.

1. PROGRAM OVERVIEW
1.1 Purpose
The HealthPro Referral Program is designed to:
• Identify qualified healthcare professionals for placement opportunities
• Leverage professional networks to find exceptional talent
• Reward those who help us build our healthcare workforce
• Strengthen relationships within the healthcare community
1.2 Eligibility to Refer
You may participate in the Referral Program if you are:
• A current HealthPro Innovation employee, contractor, or affiliate
• A healthcare professional in our network
• A client facility contact or partner
• A member of the general public (unless otherwise restricted)
Excluded from participation:
• HealthPro Innovation owners, directors, and executive leadership
• Human Resources staff directly involved in hiring decisions
• Recruiting staff responsible for candidate sourcing
• Individuals who would create a conflict of interest
• Anyone prohibited by their current employer from participating in referral programs
1.3 Program Scope
This program applies to referrals for:
• Registered Nurses (RN)
• Licensed Practical Nurses (LPN)
• Certified Nursing Assistants (CNA)
• Allied Health Professionals
• Healthcare support staff
• Other positions as designated by HealthPro Innovation

2. HOW THE REFERRAL PROGRAM WORKS
2.1 Submitting a Referral
To submit a referral:
• Access the HealthPro Innovation Referral Portal at www.healthproinnovation.com or contact HR directly
• Provide complete and accurate information about the candidate including:
- Full name
- Contact information (email and phone number)
- Professional license/certification information
- Current employment status
- Specialty or discipline
- Your relationship to the candidate
• Obtain the candidate's consent before submitting their information
• Include your own contact information for bonus payment purposes
2.2 Candidate Consent Requirement
By submitting a referral, you certify that:
• You have obtained the candidate's permission to share their information with HealthPro Innovation
• The candidate is aware you are referring them for employment opportunities
• The candidate has authorized you to provide their contact details
• You have not misrepresented the opportunity or HealthPro Innovation’s interest
**IMPORTANT:** Submitting referrals without candidate consent may result in:
• Disqualification from the Referral Program
• Forfeiture of any pending referral bonuses
• Termination of your relationship with HealthPro Innovation (if applicable)
2.3 Information Accuracy
You represent and warrant that:
• All information provided is true, accurate, and complete to the best of your knowledge
• You have not falsified or exaggerated candidate qualifications
• Contact information is current and valid
• Professional credentials listed are accurate

3. REFERRAL BONUS ELIGIBILITY
3.1 Qualifying Criteria
To be eligible for a referral bonus, ALL of the following conditions must be met:
✓ The referral is submitted through official HealthPro Innovation channels (referral portal, HR email, or designated form)
✓ The candidate was not already in HealthPro Innovation’s applicant database or actively being recruited
✓ The candidate completes the full application process
✓ The candidate passes all required background checks, drug screening, and credentialing
✓ The candidate accepts an offer of employment or contract placement
✓ The candidate successfully completes [90 days / 520 hours] of active work with HealthPro Innovation
✓ The candidate maintains good standing (no disciplinary issues, performance problems, or policy violations)
✓ You remain in good standing with HealthPro Innovation at the time of bonus payment
✓ The referral is submitted before the candidate applies independently
3.2 First Referral Priority
If multiple people refer the same candidate:
• The first person to submit a complete referral receives credit
• Referral timestamp determines priority
• Duplicate referrals submitted after the first do not qualify for bonuses
• HealthPro Innovation's determination of "first referral" is final
3.3 Disqualifying Factors
A referral bonus will NOT be paid if:
• The candidate was already in HealthPro Innovation's database or applicant tracking system
• The candidate had already applied or been contacted by HealthPro Innovation within the past 12 months
• The candidate is a former HealthPro Innovation employee who left within the past 12 months
• The referrer is ineligible to participate (see Section 1.2)
• The candidate does not meet minimum qualifications for the position
• The candidate fails background checks, drug screening, or credentialing
• The candidate declines the offer or withdraws from consideration
• The candidate does not complete the required work period
• The candidate is terminated for cause during the qualifying period
• The candidate or referrer violates these Terms
• The referrer provided false or misleading information
• Payment would violate any law, regulation, or HealthPro Innovation policy

4. REFERRAL BONUS STRUCTURE
4.1 Bonus Amounts
Referral bonuses vary by position type and are subject to change. Current bonus structure:
**Registered Nurses (RN):**
• Per Diem/PRN: $500
• Travel/Contract (13+ weeks): $1,000
• Permanent Placement: $1,500
**Licensed Practical Nurses (LPN):**
• Per Diem/PRN: $300
• Travel/Contract (13+ weeks): $750
• Permanent Placement: $1,000
**Certified Nursing Assistants (CNA):**
• Per Diem/PRN: $200
• Travel/Contract (13+ weeks): $400
• Permanent Placement: $600
**Support Services Workers:**

• Housekeeping/Environmental Services:
- Per Diem/PRN: $100
- Contract (4+ weeks): $150
• Dietary Aides/Food Service Workers:
- Per Diem/PRN: $100
- Contract (4+ weeks): $150
• Laundry Services:
- Per Diem/PRN: $100
- Contract (4+ weeks): $150
*Skilled Support Services:*
• Office Clerical/Administrative:
- Per Diem/PRN: $150
- Contract (4+ weeks): $200
- Permanent Placement: $250
• Medical Records/Unit Clerk:
- Per Diem/PRN: $150
- Contract (4+ weeks): $200
- Permanent Placement: $250
• Patient Transport/Orderlies:
- Per Diem/PRN: $150
- Contract (4+ weeks): $200
- Permanent Placement: $250
• Sterile Processing Technicians:
- Per Diem/PRN: $150
- Contract (4+ weeks): $200
- Permanent Placement: $250
*Specialized Support Services:*
• Bilingual Administrative Staff:
- Per Diem/PRN: $200
- Contract (4+ weeks): $250
- Permanent Placement: $350
• Phlebotomists (Certified):
- Per Diem/PRN: $200
- Contract (4+ weeks): $250
- Permanent Placement: $350
• EKG/Monitor Technicians:
- Per Diem/PRN: $200
- Contract (4+ weeks): $250
- Permanent Placement: $350
• Executive Assistants:
- Per Diem/PRN: $200
- Contract (4+ weeks): $250
- Permanent Placement: $350
**Allied Health Professionals:**
• Varies by specialty: $300 - $1,500
**Hard-to-Fill Specialties (Bonus Multipliers):**
Certain high-demand specialties may qualify for enhanced bonuses:
• Critical Care/ICU: 1.5x standard bonus
• Operating Room/Surgical: 1.5x standard bonus
• Emergency Department: 1.5x standard bonus
• Labor & Delivery: 1.5x standard bonus
• Psychiatric/Mental Health: 1.5x standard bonus
4.2 Bonus Payment Terms
• Bonuses are paid after the candidate completes the qualifying period
• Payment is made within 30 days following the end of the qualifying period
• Payment method: Direct deposit, check, or payroll (for employees)
• Bonuses are subject to applicable tax withholding and reporting
4.3 Multiple Referrals
• You may submit unlimited referrals
• Each qualifying referral earns a separate bonus
• No limit on total bonuses earned (unless employer-specific restrictions apply)
4.4 Modifications to Bonus Structure
HealthPro Innovation reserves the right to:
• Modify bonus amounts at any time with 30 days' notice
• Offer special promotional bonuses for urgent needs
• Discontinue bonuses for certain positions
• Changes apply to referrals submitted after the modification date
• Referrals submitted before changes are governed by the terms in effect at submission

5. TAX IMPLICATIONS AND REPORTING
5.1 Taxable Income
Referral bonuses are considered taxable income. You acknowledge that:
• Bonuses are subject to federal, state, and local income taxes
• HealthPro Innovation will withhold applicable taxes for employee referrers
• Non-employee referrers will receive IRS Form 1099-MISC if total payments exceed $600 in a calendar year
• You are responsible for reporting referral income on your tax returns
• HealthPro Innovation is not responsible for your individual tax obligations
5.2 Tax Documentation
You agree to:
• Provide accurate tax information (SSN or EIN) for payment processing
• Complete IRS Form W-9 if requested
• Update tax information if your circumstances change
• Consult your tax advisor regarding tax implications
5.3 International Referrers
Referrers located outside the United States:
• May be subject to different tax withholding requirements
• Must comply with applicable tax treaties and regulations
• Should consult with international tax professionals
• May need to complete IRS Form W-8BEN

6. PRIVACY AND CONFIDENTIALITY
6.1 Candidate Privacy
You agree to:
• Respect candidate privacy and confidentiality
• Not share candidate information with anyone other than HealthPro Innovation
• Not use candidate information for any purpose other than the referral
• Obtain proper consent before submitting personal information
• Comply with all applicable privacy laws (HIPAA, state privacy laws)
6.2 Referrer Information
By participating, you consent to HealthPro Innovation
• Collecting and storing your contact information
• Using your information to process referrals and payments
• Communicating with you about the referral program
• Sharing your identity with referred candidates (unless you request confidentiality)
6.3 Confidential Business Information
During the referral process, you may become aware of:
• HealthPro Innovation's staffing needs and client relationships
• Compensation structures and placement fees
• Business strategies and operations
You agree to keep this information confidential and not disclose it to third parties.
6.4 Data Security
HealthPro Innovation implements reasonable security measures to protect your information, but cannot guarantee absolute security. You acknowledge the risks of electronic data transmission.

7. PROHIBITED ACTIVITIES
7.1 You May NOT:
• Submit referrals without candidate consent
• Misrepresent candidate qualifications or your relationship to them
• Submit fraudulent or fictitious referrals
• Refer yourself under a different name
• Collude with candidates to manipulate the referral system
• Poach active HealthPro employees for referral bonuses
• Interfere with HealthPro's recruiting relationships or processes
• Use automated systems to submit mass referrals
• Share referral portal login credentials
• Engage in any activity that violates these Terms or applicable law
7.2 Consequences of Prohibited Activities
Violations may result in:
• Immediate disqualification from the Referral Program
• Forfeiture of all pending and future referral bonuses
• Termination of employment or contractor relationship (if applicable)
• Legal action to recover damages
• Reporting to appropriate authorities for fraudulent activity
• Permanent ban from future participation

8. PROFESSIONAL RECRUITING FIRMS
8.1 Exclusion from Referral Program
Professional recruiters and staffing agencies are NOT eligible for referral bonuses under this program. This includes:
• Third-party recruiting agencies
• Headhunters and executive search firms
• Competing staffing companies
• Professional talent acquisition consultants
• Anyone compensated for recruiting activities by another entity
8.2 Separate Agreements
Professional recruiting relationships are governed by separate vendor agreements and fee structures. Contact our Vendor Relations team for partnership opportunities.

9. PROGRAM MODIFICATIONS AND TERMINATION
9.1 Right to Modify
HealthPro Innovation reserves the right to:
• Modify these Referral Terms at any time
• Change bonus amounts and qualifying criteria
• Add or remove eligible positions
• Implement caps or limitations on referrals
• Suspend the program temporarily
• Terminate the program permanently
9.2 Notice of Changes
Material changes will be communicated via:
• Email to active referrers
• Updates posted on the referral portal
• Notice on the HealthPro Innovation website
Your continued participation after changes constitutes acceptance of modified terms.
9.3 Program Termination
If the Referral Program is terminated:
• Pending referrals already in process will be honored under existing terms
• Referrals submitted after termination date are not eligible
• No refunds or compensation for "expected" future referrals

10. NO EMPLOYMENT RELATIONSHIP
10.1 Independent Activity
Participation in the Referral Program does not:
• Create an employment relationship between you and HealthPro Innovation
• Create an agency or partnership relationship
• Obligate HealthPro Innovation to hire you or your referrals
• Guarantee any specific number of placements or bonus payments
• Create any rights beyond those explicitly stated in these Terms
10.2 No Authority
You have no authority to:
• Make offers of employment on behalf of HealthPro Innovation
• Negotiate terms of employment
• Make promises or representations about HealthPro Innovation opportunities
• Bind HealthPro Innovation to any agreements
• Represent yourself as a HealthPro employee or agent (unless you are one)

11. DISPUTE RESOLUTION
11.1 Bonus Disputes
If you believe you are entitled to a referral bonus that was denied:
• Contact HealthPro Innovation HR Department within 30 days of the denial
• Provide documentation supporting your claim
• HealthPro Innovation will review and respond within 15 business days
• HealthPro Innovation's decision on eligibility is final and binding
11.2 Good Faith Efforts
Both parties agree to make good faith efforts to resolve disputes informally before pursuing legal action.
11.3 Governing Law
These Referral Terms are governed by the laws of the State of Illinois, without regard to conflict of law principles.
11.4 Venue
Any legal action arising from these Terms must be brought exclusively in state or federal courts located in the State of Illinois.
11.5 Preservation of Rights
Nothing in these Terms waives your rights under applicable employment or labor laws.

12. REPRESENTATIONS AND WARRANTIES
By submitting a referral, you represent and warrant that:
✓ You have read and understand these Referral Terms
✓ You are eligible to participate in the Referral Program
✓ You have obtained candidate consent to share their information
✓ All information provided is accurate and truthful
✓ You are not violating any agreement with a current or former employer
✓ Participation does not create a conflict of interest
✓ You will comply with all applicable laws and regulations
✓ You have the legal right to receive payment for referrals

13. LIMITATION OF LIABILITY
13.1 HealthPro Innovation’s Limited Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, HEALTHPRO INNOVATION’S LIABILITY FOR ANY REFERRAL BONUS DISPUTE IS LIMITED TO THE AMOUNT OF THE DISPUTED BONUS.
HealthPro Innovation is not liable for:
• Delays in processing referrals or payments
• Technical issues with the referral portal
• Candidate's failure to meet qualifications
• Candidate's decision to decline employment
• Changes to bonus amounts or program terms
• Tax consequences of bonus payments
• Any indirect, incidental, or consequential damages
13.2 Referrer's Liability
You agree to indemnify and hold harmless HealthPro Innovation from any claims arising from:
• Your submission of referrals without proper consent
• False or misleading information you provide
• Your violation of these Terms
• Your violation of any law or third-party rights
• Disputes with candidates you referred

14. ANTI-DISCRIMINATION AND COMPLIANCE
14.1 Equal Opportunity
HealthPro Innovation is an Equal Opportunity Employer. You agree to:
• Refer qualified candidates without regard to protected characteristics
• Not discriminate based on race, color, religion, sex, national origin, age, disability, veteran status, sexual orientation, gender identity, or any other protected class
• Comply with all applicable employment laws
14.2 Legal Compliance
You agree to comply with:
• Fair Labor Standards Act (FLSA)
• Immigration Reform and Control Act
• Americans with Disabilities Act (ADA)
• State and local employment laws
• Privacy laws including HIPAA (when applicable)
• Anti-kickback and anti-fraud regulations

15. MISCELLANEOUS PROVISIONS
15.1 Entire Agreement
These Referral Terms, together with HealthPro Innovation's general Privacy Policy, constitute the entire agreement regarding the Referral Program and supersede any prior agreements or understandings.
15.2 Severability
If any provision is found invalid or unenforceable, the remaining provisions remain in full effect.
15.3 Waiver
HealthPro Innovation's failure to enforce any provision does not constitute a waiver of that provision or any other provision.
15.4 Assignment
You may not assign or transfer your rights under these Terms. HealthPro Innovation may assign these Terms without restriction.
15.5 Headings
Section headings are for convenience only and do not affect interpretation.
15.6 Survival
Provisions regarding confidentiality, indemnification, limitation of liability, and dispute resolution survive termination of these Terms.

✓ You have obtained candidate consent before submitting their information
✓ All information you provide is accurate and truthful
✓ You understand that referral bonuses are not guaranteed
✓ You accept the bonus payment structure and qualifying criteria
✓ You understand the tax implications of referral payments
✓ You will comply with all confidentiality and privacy obligations
✓ You have no authority to make employment offers or promises
✓ HealthPro Innovation may modify or terminate the program at any time
