Job Overview:
The Company Secretary/Legal Adviser will be responsible for ensuring that the conglomerate complies with statutory and regulatory requirements, providing legal guidance to the board and senior management, and managing corporate governance matters. This role combines the responsibilities of a company secretary with those of a legal adviser, requiring a strong understanding of corporate law and governance practices.
Key Responsibilities:
- Ensure compliance with corporate governance standards and regulations.
- Organize and attend board meetings, prepare minutes, and ensure proper documentation.
- Advise the board on corporate governance best practices and legal requirements.
- Provide legal advice on a wide range of issues, including corporate transactions, contracts, and compliance matters.
- Draft, review, and negotiate legal documents and agreements.
- Manage and mitigate legal risks associated with the group operations.
- Ensure compliance with relevant laws and regulations, including company law, securities regulation, and industry-specific regulations.
- Handle regulatory filings and maintain statutory registers.
- Oversee the negotiation, drafting, and management of corporate contracts and agreements.
- Ensure that all contracts are legally sound and align with the company's interests.
- Maintain the company's statutory books, including registers of members, directors, and secretaries.
- Drive the adoption of digital tools and platforms to enhance corporate secretarial and legal functions.
- Evaluate and implement legal tech solutions to improve efficiency and effectiveness in legal processes.
- Stay abreast of emerging technologies and legal tech trends to recommend and implement innovations.
- Ensure timely filing of annual returns and other statutory documents with regulatory authorities.
- Manage shareholder communications and coordinate annual general meetings (AGMs).
- Identify potential legal risks and provide recommendations for risk mitigation.
- Collaborate with external legal advisors as needed for specialized legal matters.
- Lead and manage the legal and company secretarial team.
- Mentor junior staff and ensure the team operates effectively and efficiently.
Requirement
- Bachelor's degree in Law (LLB) or related field.
- Postgraduate qualification or professional certification in company secretarial practice (e.g., ICSA) is preferred.
- Minimum of 10 - 12 years of experience in a company secretarial or legal advisory role, preferably within a large conglomerate or multi-national corporation.
- Proven track record in corporate governance, legal compliance, and contract management.
- High level of digital literacy and technological innovation.
- Strong knowledge of corporate law, governance, and regulatory requirements.
