Company Overview: Our Client, a Karachi based company seeks to appoint experienced professionals for the following role:

Job Purpose:

To support in ensuring robust legal and regulatory compliance across all corporate governance matters. The role demands a qualified legal professional with expertise in corporate law, SECP regulations, PSX rules and public sector governance, who can interpret, implement and monitor legal requirements effectively.

Key Responsibilities

  • Legal Compliance & Advisory: Ensure compliance with all applicable laws and regulations including the Companies Act, 2017, SOE Act, 2023, Securities Act, 2015 Listed Companies (Code of Corporate Governance), 2019, SECP directives and PSX Rule Book. Provide legal advisory on corporate governance, contracts, and regulatory matters. Assist in drafting and reviewing agreements, policies, legal documents, development of financial, sustainability and other reports
  • Board & Shareholder Meetings: Support the company secretary in organizing Board meetings, AGMs, and EOGMs. Prepare resolutions and corporate decisions. Ensure proper documentation and compliance with statutory requirements
  • Regulatory Filings & Liaison: Assist in filing returns and reports with SECP, PSX, and other regulatory bodies. Act as a liaison between the company and external legal advisors, auditors, and authorities
  • Litigation & Dispute Resolution: Represent the company in legal proceedings, arbitration, and dispute resolution with regards to shareholders and relevant stakeholders as and when required. Manage corporate litigation, ensuring timely responses to legal notices
  • Risk Management & Ethics: Identify legal risks and propose mitigation strategies. Ensure compliance with ethical standards and corporate governance frameworks
  • Monitor legal and regulatory developments and ensure timely implementation of changes
  • Maintain statutory registers, compliance checklists and governance records in accordance with legal standards
  • Support legal interpretation of corporate governance frameworks, board structures and related party transactions
  • Ensure accurate and timely dissemination of information to regulators, shareholders and stakeholders
  • Liaise with auditors (internal, external, government) on legal and compliance matters and oversee implementation of recommendations

Education

  • Minimum 16 years of education, preferably, Masters from a renowned and HEC recognized university or institution/equivalent foreign degree holder institution, in any/or combination of the disciplines.

Experience

  • Minimum 3-4 years of professional experience, preferably with at least 1-2 years of related functional experience in corporate law, ideally in a listed organization or an established law firm.

Requirements:

  • Strong understanding of corporate governance, regulatory compliance and public sector frameworks.

Age

  • The candidate should preferably be not more than 33 years of age as of the last date of submission of application.
