Job Summary

The Chief Legal Counsel serves as the primary legal advisor to the Board of Directors and Senior Management. You will oversee all legal affairs, including corporate governance, compliance, litigation management, and contract negotiations, ensuring the organization's operations align with Philippine laws and industrial regulations.

Key Responsibilities

  • Strategic Advisory: Provide expert legal guidance to the CEO and Board on business expansion, joint ventures, and high-stake commercial decisions.
  • Compliance & Governance: Ensure the company adheres to SEC, PSE, and local government requirements. Act as the Corporate Secretary if required.
  • Contract Management: Draft, review, and negotiate complex agreements, including lease contracts, supply agreements, and construction contracts
  • Labor & Employment: Advise the HR department on labor standards, CBA negotiations, and disciplinary proceedings to minimize DOLE-related risks.
  • Litigation Management: Supervise external counsel for any civil, criminal, or labor cases and represent the company in administrative hearings.
  • Land & Real Estate: Manage land titles, permits, and zoning issues, particularly for operations within PEZA or industrial zones.

Qualifications

  • Education: Juris Doctor (JD) or Bachelor of Laws (LLB) from an accredited law school.
  • License: Member of the Philippine Bar in good standing.
  • Experience: Minimum of 10–15 years of legal practice, with at least 5 years in a senior leadership or in-house counsel role.
  • Industry Knowledge: Strong background in corporate law, labor law, and land acquisition.
