Legal Manager / Legal Counsel

About The Role:

We are looking for an experienced Legal Manager / Legal Counsel to provide comprehensive legal support by advising on corporate, commercial, regulatory, contractual, and compliance matters. The role ensures that the company's business activities are conducted in accordance with applicable laws and regulations while mitigating legal risks.

Key Responsibilities:

Contract Management 

• Draft, review, negotiate, and advise on a wide range of commercial agreements, including:
  • Service Agreements
  • Consultancy Agreements
  • Joint Venture Agreements
  • Non-Disclosure Agreements
  • Supply and Procurement
  • Contracts Employment-related Agreements
• Ensure contractual terms adequately protect the company's interests.

Corporate & Commercial Advisory

• Provide legal advice to management and business units on corporate and commercial matters.
• Support business expansion initiatives, strategic partnerships, mergers, acquisitions, and investments.
• Conduct legal research and provide practical legal solutions.

Regulatory Compliance

• Monitor legal and regulatory developments affecting the business.
• Ensure compliance with relevant laws, regulations, and industry standards. Develop and maintain legal compliance policies and procedures.

Corporate Governance

• Support corporate governance initiatives and maintain statutory records.
• Liaise with external company secretaries and regulatory authorities.
• Assist in board resolutions, governance documentation, and corporate filings.

Risk Management

• Identify legal risks and recommend mitigation measures.
• Provide legal training and awareness programs to internal stakeholders.
• Manage legal documentation and maintain contract databases.
  

External Counsel Management

• Coordinate and manage external legal advisers on specialized legal matters.
• Review legal opinions and recommendations from external counsel.

Key Requirements:

• Bachelor's Degree in Law (LLB) or equivalent.
• Admitted to the Bar and holding a valid practicing certificate would be an advantage.
• Minimum 5-8 years of relevant legal experience.
• Experience in corporate and commercial law.
• In-house legal experience is preferred.
• Strong contract drafting and negotiation skills.
• Good understanding of corporate governance and regulatory compliance.
• Strong analytical and problem-solving abilities.
• Excellent communication and stakeholder management skills.
• Ability to work independently and manage multiple priorities.
