As we expand, were looking for someone to take on the role of Group Legal Counsel - someone who thrives in emerging industries and is ready to take ownership of legal operations with a sharp focus on compliance, contracts, and commercial growth. This role will grow into a team leadership position as we scale.

You'll be our first in-house legal hire, reporting to the COO, and partnering with leadership across Product, Customer Experience, Growth, and Revenue Operations. This is a strategic, cross-functional role that balances risk, regulation, and innovation with confidence and clarity. You'll work on everything from contracts and compliance to entity structuring, regulatory frameworks, and platform IP. This is a group-level legal position with the opportunity to shape and grow our legal operations as we expand globally.

Key Responsibilities:

Day-to-Day Duties

• Draft and/or review commercial, employment, and service contracts
• Advise on corporate governance and maintain company records
• Support Maltese entity management, shareholding structures, and compliance filings
• Liaise with our company secretary, accountants, and tax advisors
• Oversee IP registration, licensing, and enforcement
• Build internal documentation and workflows related to legal processes
• Draft internal policies and respond to regulatory inquiries or disputes
• Monitor changes in Maltese, EU, and international law
• Act as the liaison with external legal counsel as needed

Corporate & Venture Legal

• Support entity setup, governance, intercompany agreements, and shareholding frameworks across multiple jurisdictions
• Draft and maintain investor docs, board resolutions, NDAs, and internal governance frameworks
• Work closely with Finance, the COO, and external advisors on cap tables, fundraising docs, and venture formation
• Liaise with external law firms, company secretaries, and accountants across Modular Group entities

Commercial & Contract Counsel

• Draft and negotiate B2B contracts, SaaS terms, licensing agreements, creator terms, and affiliate deals
• Support team in structuring scalable, cross-border commercial agreements
• Build and maintain a contract database, approval workflow, and internal templates/playbooks

Platform, Privacy & Content Compliance

• Serve as the company's Data Protection Officer (DPO) and lead all GDPR efforts
• Lead compliance across GDPR, COPPA, CAN-SPAM, and global data regulations
• Manage age verification, KYC/AML, and moderation frameworks, and platform trust & safety compliance in collaboration with Finance and Customer Experience
• Maintain up-to-date Terms of Service, Privacy Policies, Content Guidelines, Cookie Notices, data subject request procedures and enforcement documentation
• Advise Product and CX teams on privacy by design, age gating, data handling flows, content rights, and ethical risk frameworks

IP, Licensing & Creator Rights

• Manage trademarks, copyright, brand protection, and platform usage rights
• Advise on creator IP, licensing of AI-generated content, and digital asset terms
• Collaborate with Marketing and Product to define usage rules and protect platform IP

Commercial Legal

• Draft and negotiate SaaS terms, NDAs, licensing agreements, vendor and partner contracts
• Support team on structuring creator, B2B, and media buyer deals
• Create scalable contract templates and playbooks for internal brands and white-label clients
• Provide legal insight on risk across global commercial initiatives

What We're Looking For

• Maltese-warranted lawyer with 3+ years post-qualification experience (PQE)
• Strong knowledge of EU/US regulatory frameworks, especially in tech, content, and e-commerce
• Strong grasp of commercial law, IP, data protection, and cross-border SaaS/platform compliance
• Experience acting as a DPO or leading GDPR strategy preferred
• Industry familiarity with adult, dating, or creator platforms is highly desirable
• Skilled in contract drafting, negotiation, and IP/commercial law
• Strategic and pragmatic - you balance legal risk with business needs
• Fluent in English, with excellent written and verbal communication skills

Bonus points for:

• Knowledge of international age verification, moderation, and consent laws
• Experience with KYC, AML, and trust & safety frameworks
• Background in startup environments or scaling legal operations from scratch
