PURPOSE OF THE ROLE
The Independent Trustee of the Impala IBR Community Share Ownership Trust (CSOT) provides a critical governance function, ensuring the trust operates with integrity, legal compliance, and in alignment with the best interests of its beneficiaries. As an impartial and external party, the trustee safeguards the separation between control and benefit of trust assets and ensures all beneficiary groups are treated fairly.
This role demands active engagement, independent judgment, and unwavering adherence to the trusts founding documents and all relevant legislation. Ethical conduct, strategic oversight, and proactive risk management are central to the trustees responsibilities, reinforcing their duty to uphold the trusts purpose and ensure its long-term sustainability.

MINIMUM QUALIFICATIONS AND REQUIREMENTS
- NQF Level 7 qualification in Finance, Investments, or Commerce.
- NQF Level 8 qualification (e.g., LLB) will be an added advantage.
- Minimum of 5 years experience managing mine community trusts or serving as an Independent Trustee.
- Senior-level experience in the mining or social development sectors is advantageous.
- Professional registration with one of the following is essential i.e. South African Institute of Chartered Accountants (SAICA), South African Institute of Professional Accountants (SAIPA), Legal Practice Council (LPC)
- In-depth knowledge of South African trust law and relevant legislation, including i.e. Trust Property Control Act, Income Tax Act, and FICA
- Familiarity with leading governance frameworks, including King IV Report on Corporate Governance and the Independent Code of Governance for NPOs in South Africa
- Strong understanding of fiduciary duties, responsibilities, and potential liabilities associated with trusteeship.
- Proven ability to exercise independent discretion and judgment without undue influence.
- Excellent interpersonal skills to navigate complex issues and engage with diverse stakeholders.
- Demonstrated competence in managing multifaceted challenges in trust administration.
- Genuine passion for community development and a solid understanding of the trusts operating environment typical to mine communities.
- Capacity to assess and resolve disputes or risks arising from trustee duties.
- High level of integrity, with experience in roles requiring good faith, transparency, and avoidance of conflicts of interest.
- To ensure independence, applicants must not have been employed by Implats or its subsidiaries, any entities of the Royal Bafokeng Nation, or the Rustenburg Local and Moses Kotane Municipalities within the past five years. Additionally, applicants must neither originate from nor currently reside in Impalas mine communities in Rustenburg.
DUTIES AND RESPONSIBILTIES:
- Act in the best interests of the trust and its beneficiaries, ensuring legal ownership and protection of trust assets. This includes overseeing responsible investment strategies that balance income and long-term preservation and administering assets for vulnerable individuals when required.
- Act as chairperson of the Impala IBR CSOT Board of Trustees ensuring the trust operates strictly within the framework of the trust deed and complies fully with all applicable legislation.
- Actively participate in the trusts daily operations and key decisions exercising independent direction without external influence.
- Share collective accountability for all trust actions and contribute strategically to the Board by shaping policy, setting goals, and evaluating performance
- Ensures accurate financial reporting to beneficiaries, maintains meticulous records and oversees the preparation of annual financial statements and tax submissions.
- Ensure all trustees disclose and manage conflicts of interest and actively avoid situations where personal interests may interfere with fiduciaries duties.
- Maintain accurate records, facilitate trustee meetings, compile agendas and minutes and draft formal resolutions for all trust transactions.
