WE ARE HIRING: Legal Counsel / Senior Legal Officer

Role Overview

We are seeking a highly skilled and business-focused Legal Counsel / Senior Legal Officer to provide dedicated legal support for land transactions, real estate documentation, investor negotiations, and transaction closing activities within a large-scale real estate development environment.

The selected candidate will be closely involved in the full land sales transaction process, including drafting, reviewing, and revising transaction documents, supporting investor discussions, coordinating document execution, managing registration requirements, and ensuring smooth legal closure. This role requires strong practical experience in real estate or land transactions, land registration, deed registration, notarial documentation, and commercial legal support.

Key Responsibilities

Land Transaction Documentation

• Draft, review, and revise land transaction documents based on approved templates.
• Prepare and review Sale and Purchase Agreements, Offer Letters, Deeds of Release and Surrender, Mortgage Bonds, MOUs, and related transaction documents.
• Maintain land transaction templates, standard clauses, legal checklists, document registers, execution versions, and registration records.
• Ensure all legal documents are accurate, complete, and aligned with transaction requirements.

Investor Negotiation & Legal Coordination

• Attend meetings with investors and legal advisers to explain contract provisions and clarify legal matters.
• Record legal issues, summarize points of disagreement, and revise documents based on internal discussions.
• Provide practical legal support during investor negotiation, signing, and closing stages.
• Respond promptly to legal document review and revision requirements within transaction timelines.

Transaction Closing & Registration Support

• Follow up on legal milestones, including Offer Letter, SPA, Deed, Mortgage/Release, execution, payment conditions, registration, and closing.
• Prepare, review, submit, or coordinate documents required by regulatory bodies, land registry, surveyors, banks, and other relevant parties.
• Review investor corporate documents, signing authority, board/shareholder resolutions, powers of attorney, identity of signatories, and execution formalities.
• Coordinate with finance teams on stamp duty, taxes, statutory fees, and other transaction-related payments.

Corporate, Commercial & Risk Support

• Prepare or review board resolutions, shareholder resolutions, authorization letters, powers of attorney, and transaction-supporting documents.
• Draft or review selected non-land transaction agreements, including consultancy agreements, marketing agreements, MOUs, and NDAs.
• Identify risks related to default, delayed payment, termination, mortgage release, and closing delays.
• Draft or review basic dispute-related documents such as notices, demand letters, and termination letters when required.

Candidate Profile

• Qualified Attorney-at-Law of Sri Lanka is mandatory.
• Minimum 5–8 years of relevant legal experience suitable for Legal Counsel / Senior Legal Officer level.
• Proven experience in real estate, land transactions, or land-related legal documentation is mandatory.
• Practical familiarity with land registry, deed registration, and notarial documentation is mandatory.
• Qualification as a Notary Public is strongly preferred.
• Candidates who can support land transaction document execution as a notary will be highly regarded.
• Experience from reputable local law firms, real estate developers, large corporations, or corporate/commercial legal departments will be preferred.
• Experience in property development, mixed-use development, special economic zones, BOI, regulator-facing matters, or large-scale development projects will be an added advantage.
• Excellent English communication skills, including the ability to independently draft, review, and revise English contracts and legal documents.
• Strong business-friendly legal mindset with the ability to provide practical, negotiable, and risk-controlled solutions.
• Strong communication and coordination skills with the ability to work with investors, regulators, land registry, banks, surveyors, and internal teams.
• Ability to work under transaction timelines and manage multiple legal matters accurately and efficiently.
• Chinese language capability is not required.
