Legal Counsel

Our client is an investment-focused organization with diversified interests, including family investments and operations in the manufacturing and consumer sectors. They are known for their dynamic approach to growth and value-driven decision-making.

They are seeking a proactive Legal Counsel to support their $50M venture capital fund with a focus on real estate investments and commercial transactions in the UAE and wider Middle East. The role includes legal oversight of acquisitions, deal structuring, and dispute management. The ideal candidate will have strong litigation/arbitration experience and deep understanding of regional legal frameworks.

Duties & Responsibilities

• Draft, review, and negotiate contracts related to real estate deals, lease agreements, maintenance contracts, and commercial investments.
• Advise on legal structuring and risk related to acquisitions and real estate investing.
• Support and manage legal due diligence and closing processes for asset purchases and portfolio investments.
• Liaise with external legal advisors and regulatory bodies on corporate, commercial, and litigation matters.
• Lead or support dispute resolution, arbitration, and litigation proceedings.
• Monitor evolving laws across the UAE and GCC and ensure regulatory compliance.
• Maintain legal documentation and contribute to internal policy development.

Qualifications

• Bachelors degree in Law (LLB); Masters preferred.
• 5-8 years of legal experience, with at least 5 years in litigation/arbitration and exposure to real estate/commercial transactions in the UAE/GCC.
• Proven experience in buy-side legal work, deal structuring, and contract negotiation.
• Familiarity with lease, maintenance, JV, and commercial contracts.
• Prior experience liaising with external legal counsel and government authorities.
• Strong written and spoken English; Arabic fluency preferred.
• Ability to travel across GCC as needed.
