Job Responsibilities 

• Be able to work on a broad mix of transactions, including public and private M&A (including divestments), joint ventures, and securities offerings.
• Most of the work will have an international dimension and will range from larger scale, complex cross border transactions to smaller deals which provide greater leadership responsibility.
• Advise on corporate/commercial projects, including new offices/entities, reorganisations and/or joint ventures.
• Review, draft and negotiate a wide range of agreements and providing legal advice on business issues.
• Advising on mergers, acquisitions, disposals, restructurings, buy-ins, buyouts, joint ventures and private equity/fund investments.
• Engaging in the drafting, negotiating, and reviewing of a wide variety of corporate contracts, including share purchase agreements, ancillary documents, disclosure letters, engagement letters, confidentiality agreements, offering memoranda, shareholders agreements, and joint venture agreements.
• Providing guidance and support on various corporate policies and corporate governance matters.
• Dealing with due diligence activities.

Qualifications

• A Bachelor's degree of higher in Law.
• High academic performance.
• Strong experience with M&A transactions and private equity across various industries.
• Excellent Thai & English language skills.
• Lawyer's Licence / Bar Admission is preferred but not required.
