About Your Company

We are seeking a high-caliber General Counsel with 8–10 years of PQE to lead our legal function. This role is designed for a strategic legal expert who can navigate the complexities of direct technology investments, global fund structures, and capital market requirements. The ideal candidate will bridge the gap between high-stakes deal execution and institutional-grade corporate governance

About your role

Direct Investment & Fund Law

• Drafting & Technical Skills - Proficiency in drafting SPV fund agreements and side letters.
• Fund Formation - High familiarity with fund documentation across major jurisdictions, including Cayman Islands, Delaware, BVI, and Luxembourg.
• VC Transaction - Expert knowledge of standard VC investment documents, specifically Shareholders' Agreements (SHA) and Share Purchase Agreements (SPA)

Corporate & Commercial Law

• Contract Lifecycle: Draft and review all corporate and commercial agreements, including high-value vendor contracts, NDAs, and licensing agreements.
• Group Governance: Act as Board Secretary where required, ensuring robust corporate governance and record-keeping for the family office and its subsidiaries.

What you will need to succeed

• Experience: 5–10 years of PQE, In-house experience within a Family Office or Buy-side institution with core Investment Focus: Direct investments, investing through SPVs, and fund-of-fund investments.
• Alternative Profile: Candidates without in-house experience are acceptable if they come from law firm where they advised Family Offices or USD PE/VC funds.
• Sector Expertise: Deep technical knowledge in Investment Law, Fund Law, and Capital Markets and Corporate / Commercial Law
• Education & Admissions: NY or HK or UK Bar admission is required
