In this key role, you'll oversee compliance with laws and regulations, handle government relations, and manage corporate housekeeping. You'll also lead risk management strategies, contract negotiations, and litigation, while providing guidance on corporate governance and mergers. - Compliance: Monitors changes in laws and regulations affecting accounting practices and ensures the firm's compliance with relevant statutes, regulations, and industry standards.
- Government Liaising: Establishes and maintains effective communication and relationships with government agencies and instrumentalities.
- Corporate Housekeeping: Provides centralized oversight of the organizations ethics and compliance efforts, including the administration, investigation, and enforcement of the organizations ethics and compliance plans and policies.
- Risk Management: Identifies and assesses legal risks associated with the firm's operations and develops strategies to mitigate these effectively.
- Contract Management: Oversees the drafting, negotiation, and review of contracts with clients, vendors, and partners to protect the firm's interests and ensure compliance with legal requirements.
- Litigation Management: Manages any legal disputes or litigation involving the firm, including working with external legal counsel when necessary to achieve favorable outcomes.
- Corporate Governance: Provides guidance on corporate governance matters, including board governance, ethics, and compliance with corporate policies and procedures.
- Mergers and Acquisitions: Provides legal support for mergers, acquisitions, and other strategic transactions, including due diligence, transaction structuring, and contract negotiation.
- Internal Legal Advice: Provides sound legal advice and guidance to stakeholders, including executives, department heads, and employees, on a wide range of legal issues affecting the group's operations.
- Training and Education: Develops and delivers training programs on legal and compliance topics to ensure that employees across the organization understand their legal obligations and responsibilities.
- Policy Formulation and Implementation: Leads the formulation and implementation of policies and procedures to ensure compliance and promote best practices in corporate governance and risk management.
Qualifications:
- Juris Doctor (JD) degree from a reputable law school; CPA Lawyer preferred.
- Member in good standing of the Philippine Bar.
- At least 5 years of experience in leading a legal department/division with a focus on corporate, labor, and tax law.
- Expertise in identifying legal risks and developing effective strategies to mitigate potential legal issues within a corporate environment.
- Extensive experience in negotiating, drafting, and reviewing contracts, as well as managing legal disputes and litigation processes.
- Solid experience in guiding corporate governance, ensuring compliance with internal policies, regulations, and corporate best practices
- Ability to work effectively in a fast-paced, dynamic environment and manage multiple priorities simultaneously.
- Commitment to upholding the highest standards of integrity, ethics, and professionalism.
- Excellent analytical, problem-solving, decision-making, and critical thinking skills.
- Possesses excellent interpersonal and communication (written and verbal) skills.
