Mid-Level Corporate Associate

ABOUT THE ROLE

A leading national regional firm is seeking a mid-level corporate associate to join its suburban Philadelphia office. The corporate group handles a broad range of transactional matters — M&A, private equity, alternative entity formation, joint ventures, and general corporate governance — for a client base spanning emerging companies through established middle-market businesses. Associates work closely with senior partners and take on early responsibility over transactions.

WHAT YOU'LL DO

• Lead and support M&A transactions, including due diligence, drafting, and negotiation of deal documents
• Advise on formation, governance, and restructuring of corporations, LLCs, and alternative entities
• Draft and negotiate purchase agreements, operating agreements, and ancillary transaction documents
• Manage client relationships and communicate deal status to senior stakeholders
• Mentor junior associates and coordinate with cross-practice colleagues as needed

WHAT WE'RE LOOKING FOR

• J.D. from an ABA-accredited law school
• 4+ years of corporate/transactional experience at a law firm, with alternative entity experience
• PA Bar admission required
• Strong drafting skills and meticulous attention to detail
• Proven ability to manage transactions independently and meet closing deadlines
