Overview:
Our client, a highly respected law firm, is seeking a mid-level associate to join its Structured Finance Group. This is an excellent opportunity to work on sophisticated transactions in a collaborative, high-caliber environment. The ideal candidate will bring strong deal execution skills, a solid foundation in structured finance, and the ability to manage multiple matters for a diverse client base.

Key Responsibilities:

  • Advise clients on structured finance, securitization, lending, and related finance transactions.
  • Draft, review, and negotiate transaction documents, including purchase agreements, offering memoranda, indentures, pooling and servicing agreements, and related financing documents.
  • Guide deal structuring, risk assessment, and regulatory compliance.
  • Collaborate with partners, associates, and clients to ensure smooth deal execution across multiple transactions.
  • Manage aspects of transactions from inception through closing.
  • Research and analyze laws, regulations, and market developments impacting structured finance transactions.

Qualifications:

  • J.D. from an accredited law school and active membership in the New York Bar.
  • Minimum 4 years of experience in structured finance at a law firm.
  • Strong transactional background in structured finance, securitization, lending, or similar complex finance structures.
  • Experience working with a variety of asset types and structures is preferred but not required.
  • Demonstrated ability to manage multiple transactions simultaneously in a fast-paced environment.
  • Excellent drafting, analytical, and communication skills.

Preferred Experience:

  • Broad exposure to asset classes such as consumer receivables, trade receivables, equipment leases, mortgage-backed securities, or CLOs.
  • Familiarity with Dodd-Frank, securities law issues, and rating agency requirements.
