Senior M&A Attorney / Of Counsel

Overview:
Our client, a highly regarded law firm, is seeking a senior attorney to advise corporate clients and private equity funds on complex transactions and general corporate matters. This role is ideal for an attorney with a strong M&A background, a business development mindset, and the ability to work with a high degree of autonomy while maintaining direct client contact.

Key Responsibilities:

  • Advise clients on acquisitions, dispositions, minority investments, joint ventures, and other strategic transactions.
  • Counsel on general corporate matters, including corporate governance and compliance.
  • Manage all phases of M&A transactions, from term sheet to closing.

  • Draft, review, and negotiate key transaction documents, including purchase agreements, shareholder agreements, and other related contracts.
  • Collaborate with clients, opposing counsel, and internal teams to ensure smooth deal execution.
  • Build and maintain strong client relationships, with an emphasis on business development and client retention.

Qualifications:

  • J.D. from an accredited law school; admitted to practice in [Insert Jurisdiction(s)].

  • Class year 2015+ or already at Of Counsel level.

  • Significant experience leading M&A transactions and drafting transaction documents.

  • Solid understanding of corporate law, market terms, and deal structuring.

  • Proven ability to manage transactions independently and effectively.

  • Strong interpersonal skills, entrepreneurial mindset, and commitment to client service.
