B. Key Accountabilities:
1. Company-wide Compliance
- Manage Code of Ethics: onboarding orientation, annual training/filing, tracking non-compliance, and updating policies.
- Oversee Conflict of Interest disclosures & Outside Consulting Work: ensure timely submissions, investigate non-compliance cases, propose next steps.
- Manage Internal Labour Rules: training, annual acknowledgment, tracking non-compliance, regulatory filings with authorities.
2. Investee Compliance
- Monitor compliance of portfolio companies with the Agreements, Charter, and Vietnam Enterprise Law, including but not limited to the Funds rights/reserved matters, restrictions, related-party transactions, and public registration & listing.
- Monitor compliance on corporate governance commitments of investees: proper Board meetings, AGMs, signed minutes, and adherence to governance guidelines.
- Track quarterly Trigger Event Reports and compliance updates from deal teams.
3. Regulatory Compliance
- Monitor legal and regulatory changes in Vietnam and countries where the funds are incorporated.
- Keep the relevant internal teams updated with the regulation changes to ensure compliance with all relevant regulations.
4. Legal Matters
- Draft and negotiate Confidentiality Agreements; maintain templates and ensure proper execution and storage.
- Review and negotiate contracts to ensure required clauses included and mitigate legal risks.
- Manage Power of Attorney (POA) and Chart of Authority for the company and the Funds.
- Maintain and register trademarks and other IP protections.
- Other legal matters relating to fund raising projects.
5. Document Management
- Quarterly checks on proper storage of key documents (physical and digital): SHA, contracts, share certificates, board minutes, NDAs, etc.
- Ensure deal teams maintain master copies and retrieve missing documents promptly.
6. Risk Management
- Maintain and enhance the companys Risk Management Systems.
- Work with relevant system owners to identify risks, follow up mitigation plans, and update risk registers semi-annually.
7. Other Responsibilities
- Build and update compliance and legal-related policies (including Data Privacy Policy).
- Handle additional tasks aligned with role objectives.
C. Key Requirements:
- Hands-on Legal/Compliance Experience: At least 7–10 years of hands-on and independent experience in Legal/Compliance roles in foreign investment consultancy with reputable companies or law firms. Experience in drafting, reviewing and executing business contracts & legal/compliance policies, and negotiating with relevant stakeholders. Track record in leading/involving in big and complex projects with stakeholders from multiple countries.
- Corporate governance: Hands-on experience in corporate governance matters such as how the Board of Directors functions in Vietnam.
- Project management: Ability to lead efficiently with project team comprising of multiple internal and external parties in a way that project meeting intended outcomes and deadline. Strong leadership and problem solving skills to get deal done with velocity.
- Legal background: Law degree required; degree from a foreign law school is a plus. Strong understanding of and keeping up-to-date with Vietnam laws and regulations, especially for foreign-invested companies.
