Our client is seeking a skilled Corporate Lawyer with strong Peruvian corporate and commercial law experience to support international clients establishing and operating entities in Peru. You will play a key role in entity formation, statutory compliance, legal representation, and ongoing corporate administration. Your work will directly impact clients' ability to establish and maintain compliant Peruvian operations efficiently.
Key Responsibilities
Support the incorporation of Peruvian legal entities (S.A.C., S.R.L., and sucursales), including drafting the minuta and coordinating the escritura pública and registration with SUNARP
Coordinate initial tax registration (RUC) with SUNAT, including activation of the entity's electronic filing credentials
Act as, or coordinate the appointment of, local legal representatives for client entities as required under Peruvian law
Draft and review powers of attorney, board resolutions, and shareholders' meeting minutes, and manage registration and vigencia de poderes
Manage annual corporate compliance obligations, including legalisation and maintenance of corporate books (libros societarios) and annual shareholders' meetings
Prepare and file beneficial ownership declarations (Declaración de Beneficiario Final) with SUNAT and manage subsequent updates
Coordinate registered office and domiciliation arrangements for client entities
Liaise directly with international clients and referral partners (including global EOR and PEO providers) in English regarding entity structuring, compliance timelines, and documentation requirements
Coordinate with notaries, SUNARP, SUNAT, and other authorities to progress incorporation and compliance filings
Provide ad-hoc legal advisory support on employment law, commercial contracts, and corporate structuring matters, including dormant entity maintenance and dissolution
Support review of commercial contracts and agreements for international clients operating in Peru
Requirements
Law degree (Título de Abogado) from an accredited Peruvian university
Active registration with a Colegio de Abogados (Lima or equivalent)
Minimum 3 years of experience in corporate/commercial law, ideally supporting foreign-owned entities or international clients
Strong working knowledge of the Ley General de Sociedades, SUNARP registry procedures, and SUNAT registration requirements
Fluent Spanish and professional-level English, both written and spoken
Experience drafting incorporation documents, powers of attorney, and corporate resolutions
Preferred
Experience supporting global EOR, PEO, or multi-country expansion service providers
Familiarity with immigration and work permit processes before Migraciones and the Ministerio de Trabajo
Experience with beneficial ownership and AML/KYC-related corporate filings
Experience with INDECOPI trademark and intellectual property registrations
