Job Title: Legal Counsel (Contracts)

Location: Panama – Onsite

Salary Range: $3,000 USD/month

Our client is seeking an experienced Legal Counsel with strong expertise in commercial and financial contracts to join their team on a permanent basis in Panama. You will play a key role in drafting, reviewing, and negotiating contracts and financial agreements while working directly with English-speaking clients and supporting their ongoing corporate and investment activities.

Key Responsibilities

  • Draft, review, and negotiate commercial and financial agreements, including loan agreements, shareholder agreements, investment documents, and other corporate contracts.
  • Provide ongoing legal support on contractual matters involving financial transactions, investments, and corporate activities.
  • Identify legal and commercial risks within agreements and provide practical recommendations to protect their interests.
  • Work directly with English-speaking clients and stakeholders on contract-related matters.
  • Support negotiations with counterparties and ensure agreements accurately reflect agreed commercial terms.
  • Collaborate with internal teams and external legal and business stakeholders on contractual matters.
  • Maintain accurate, high-quality legal documentation while ensuring confidentiality and professional standards.

Must-Have Qualifications

  • Proven experience as a Legal Counsel, Corporate Lawyer, Contracts Lawyer, or similar role.
  • Strong experience drafting, reviewing, and negotiating commercial and financial agreements.
  • Experience with loan agreements, shareholder agreements, investment documents, and corporate contracts.
  • Background in banking, financial institutions, investment funds, or a similar financial environment.
  • Fluent English with the ability to communicate confidently and professionally with English-speaking clients.
  • Strong contract negotiation, analytical, and legal drafting skills.
  • Availability to work onsite in Panama on a permanent, full-time basis.

Preferred Qualifications

  • Experience supporting complex financial or investment transactions.
  • Experience working with international clients or cross-border agreements.
  • Strong understanding of corporate and financial legal matters.
  • Immediate or near-immediate availability.
