Location: This is an on-site position based in our Burlington, Vermont office, with occasional travel to other offices as needed. We strongly prefer candidates who are already located in the area or have meaningful ties to Vermont or Northern New England.

Note: Candidates must be admitted to the Vermont Bar and in good standing. Corporate, commercial, business transactions, M&A, financing, commercial contracts, or closely related transactional law experience is strongly preferred.

Job Description

  • Support a wide range of corporate and commercial transactions for local, national, and international clients.
  • Assist with debt and equity financing transactions, sales of businesses, acquisitions, joint ventures, intellectual property transactions, and general business matters.
  • Draft, review, and negotiate transaction documents, contracts, agreements, resolutions, closing documents, and related business law materials.
  • Conduct legal research, due diligence, entity review, contract analysis, and transaction support.
  • Work directly with partners and senior attorneys on sophisticated business transactions.
  • Communicate with clients, opposing counsel, lenders, and other transaction participants.
  • Help growing and successful businesses solve practical legal issues and complete important transactions.
  • Take on increasing responsibility as your skills, confidence, and client-facing experience develop.

Qualifications

  • Admission to the Vermont Bar in good standing is required.
  • Corporate, commercial, business transactions, M&A, finance, or related transactional law experience is strongly preferred.
  • 3 to 6 years of corporate or commercial law experience is preferred.
  • Strong interest and aptitude in business transactions.
  • Excellent drafting, research, analytical, organizational, and communication skills.
  • Experience with debt financing, equity financing, mergers and acquisitions, business sales, commercial contracts, IP transactions, joint ventures, or general corporate work is a plus.
  • Strong attention to detail, practical judgment, and ability to work collaboratively.
  • Vermont or Northern New England ties are strongly preferred.
