Location: Portland, Maine | Hybrid schedule with the flexibility to work remotely up to two days per week while enjoying the collaboration and mentorship of an established office.

Note: Candidates must have 3+ years of corporate law experience with significant mergers and acquisitions experience and must be licensed to practice in Maine.

Job Description

  • Represent clients in mergers and acquisitions transactions from initial structuring through closing
  • Draft and negotiate purchase agreements and transaction documents
  • Advise corporations, partnerships, and limited liability companies on day-to-day business matters
  • Assist clients with entity formation and organizational structuring
  • Support finance and private equity transactions
  • Conduct due diligence and manage transaction processes
  • Collaborate with attorneys across practice groups on complex matters
  • Build strong client relationships and provide practical legal advice

Qualifications

  • 3+ years of corporate law experience
  • Strong mergers and acquisitions experience required
  • Experience representing corporations, partnerships, and LLCs preferred
  • Experience with entity formation and business structuring preferred
  • Finance and private equity transaction experience preferred
  • Securities law knowledge is a plus
  • Excellent drafting, analytical, and communication skills
  • Maine bar admission required
