Job Description
- Lead sophisticated mergers and acquisitions, including asset and stock purchases, mergers, divestitures, and joint ventures.
- Structure, draft, review, and negotiate purchase agreements, letters of intent, shareholder agreements, operating agreements, and closing documents.
- Direct due diligence efforts, identify transaction risks, and advise clients on deal structure, regulatory considerations, and closing strategy.
- Counsel closely held and middle-market businesses, private equity sponsors, and institutional clients on corporate governance and transactional matters.
- Build, maintain, and expand a portable book of business while developing new client and referral relationships.
- Partner with attorneys across Tax, Employment, Intellectual Property, Real Estate, Litigation, and other practices on complex transactions.
- Help establish and grow the Connecticut corporate M&A practice.
- Mentor junior attorneys and contribute to business development, practice initiatives, and firm leadership.
Qualifications
- Juris Doctor from an accredited law school.
- Active Connecticut Bar license in good standing.
- 10+ years of concentrated M&A and corporate transactional law experience.
- $250K+ portable book of business with demonstrated originations.
- Proven experience managing complex M&A transactions from letter of intent through closing and post-closing.
- Strong professional reputation within the Connecticut and greater tri-state business community.
- Excellent drafting, negotiation, strategic counseling, and client-management skills.
- New York Bar admission is a plus.
