About the job Legal Services Manager (CPA Lawyer)

Duties:

Drafting and Reviewing Legal Documents: Prepare and review contracts, agreements,

and other corporate documents, including legal opinions, memorandums, research,

letters, and correspondences related to corporate matters.

Contract Template Development: Develop and recommend standardized contract

templates for common agreements used by PBU companies, ensuring they are legally

sound, practical, and cost-effective.

Contract Policy Formulation: Create and propose policies regarding the custody and

management of original contracts for PBU approval.

Contracts Management System Oversight: Manage and supervise the implementation of

the cloud-based Contracts Management System, ensuring it effectively serves as the

database for all PBU contracts.

Compliance Monitoring: Oversee the companys contracts and ensure compliance with

tax laws and regulations, focusing on requirements related to BIR, PEZA, and similar

entities.

Legal Tax Advisory: Provide legal counsel to business units on tax matters, including

interpretation of tax laws, handling disputes, and advising on strategies to maximize tax

credits and cost savings.

Tax Law Research and Documentation: Conduct research on tax-related legal issues,

interpret relevant laws, compile reports, and prepare necessary legal documents for

submission.

Corporate Legal Opinions: Offer legal advice on company acquisitions, investments, and

the viability of business models, ensuring alignment with legal standards.

Ongoing Legal Research: Continuously research and stay updated on corporate and civil

laws, as well as decisions from the Supreme Court and other government agencies,

providing reports as needed.

Representation in Stakeholder Meetings: Act as the companys representative in

meetings with clients, stakeholders, and other industry-related gatherings.

Reporting and Other Duties: Report directly to the Vice President of Legal, Regulatory,

Compliance, and Industry Relations, who reviews and approves all work, and undertake

additional tasks as assigned.

Qualifications:

Strong understanding of laws and regulations.

Excellent analytical and communication skills.

Proficiency in risk management.

Comprehension of corporate structures and their legal and financial implications.
