Job Overview:
The Legal Specialist supports regional legal and compliance functions, focusing on drafting, reviewing, and negotiating commercial contracts with customers and vendors. Key responsibilities include managing onboarding processes through KYC and sanctions checks, preparing due diligence reports, and supporting corporate secretarial duties such as board resolutions and regulatory filings. The role ensures proper documentation and contributes to maintaining legal compliance across the business.
Key Responsibilities:
- Draft, review, and negotiate various types of business contracts and ensure compliance.
- Apply knowledge of basic business contract law across Southeast Asia in all contractual matters.
- Ensure contracts comply with internal contracting policies and procedures.
- Update contract templates as needed, especially in response to regulatory changes.
- Conduct initial review of onboarding documents submitted by new customers and vendors.
- Manage end-to-end onboarding processes for customers and vendors.
- Request additional information or escalate issues when necessary.
- Prepare KYC and Due Diligence reports for internal records.
- Stay informed on applicable sanctions and ensure compliance in all business dealings.
- Draft board resolutions and assist with corporate secretarial tasks.
- Monitor and ensure timely submission of regulatory filings.
- Maintain and update accurate internal records.
- Rename and organize legal documents following internal naming conventions.
- Maintain a well-structured filing system for easy document retrieval.
What Were Looking For:
- A Degree in Law.
- 4-5 years of experience in the legal industry.
- Proficiency in spoken Chinese is required, as the role involves communicating with Chinese-speaking overseas clients.
- Good foundation on business requirements and expectation for contracts and compliance. Experience in the corporate department of a law firm or in reviewing contracts within an in-house legal team.
- Excellent command of spoken and written English.
- Meticulous attention to detail and strong organizational skills.
