SUMMARY:
Our client, a prestigious & nationally recognized law firm, is seeking a mid-level Associate to join their growing Private Equity Mergers & Acquisitions Practice. You will join a dynamic team of attorneys whose practice continues to grow in both scope and sophistication. They serve a broad range of innovative clients and take a collaborative, process-driven, and technology-enabled approach to M&A. Ideal candidates should be ambitious, driven, team-oriented and willing to help grow and support the firms national practice.
RESPONSIBILITIES:
- Support buy-side and sell-side transactions, including leveraged buyouts (LBOs), minority investments, and exits.
- Draft, review, and negotiate definitive transaction agreements, equity documentation, management equity plans, and ancillary contracts.
- Coordinate, analyze, and manage legal due diligence processes to identify risks, collaborating with tax, finance, and intellectual property teams.
- Advise private equity clients on deal structuring, market terms, and regulatory compliance.
- Perform all other duties, tasks or projects as assigned.
QUALIFICATIONS:
- The ideal candidate will bring specific experience counseling clients in the health care services sector, including post-acute care, professional practices, and digital health, as well as exposure to joint ventures and emerging, innovative health care business models.
- Strong analytical and problem-solving skills, exceptional writing and communication abilities, and the demonstrated capacity to manage transactions independently while working effectively within a collaborative team are essential.
- Familiarity with design thinking, jobs-to-be-done frameworks, disruptive innovation principles, and the integration of generative AI and legal technology into deal processes is a significant plus.
REQUIREMENTS:
- JD (Juris Doctor) Degree from Accredited Law School
- Active Texas Bar Membership (Acceptable Alternate – CA, CO or GA) in Good Standing
- 4+ years of Private Equity and M&A experience, ideally gained at an AmLaw 100 or 200 firm
- A strong track record advising financial sponsors, portfolio companies, founders, and investors on complex transactions across a variety of industries.
