Overview and purpose of the role :

The Legal and Compliance Officer at RMA Group is responsible for providing the organization with effective legal services, advice, and representation for legal and compliance issues. The role is part of the legal and compliance team at RMA Groups Head Office in Bangkok, Thailand.

Key Responsibilities:

General:

  • Provide strategic advice and legal support to the Group; including contract drafting, review and negotiation, regulatory work associated with general business transactions, internal policy review and oversight and research.
  • Assist in devising, implementing, and ensuring compliance with group compliance and other policies to minimize the Groups exposure to risk and litigation.
  • Providing advice in relation to commercial and contractual matters, including but not limited to sales and purchase contracts, leases and other real estate matters, employment law related matters, insurance, compliance policies and procedures and regional and global trade law and procedures.
  • Assisting in the review, drafting, amendment and negotiation of the Group standard terms of business, confidentiality agreements, services agreements, joint ventures, subcontracts.
  • Reviewing and advising on third party contracts.
  • Assisting in corporate governance and structure of the Group and its corporate development: establishing new entities and liquidating old, disposal and acquisition of businesses, transfers of businesses between entities and restructuring.
  • Analyzing IP issues and applying for registration or copyrights of the products, devices, processes, and trademarks of the organization.

Regulatory/Compliance:

  • Assisting in the creation of legal and compliance guidelines and processes to be followed by all divisions and departments within RMA Group.
  • Examining material, such as publications, advertisements etc., for legal implications
  • Advising management on government regulations, tax matters, and legal rights.
  • Providing necessary legal and compliance training to pertinent personnel in-house. For example, explaining compliance policies, standard contracts, and their proper use, etc.

M&A:

  • Provide legal support on new investment activities.
  • Provide due diligence support on M&A targets.

Disputes/Litigation:

  • Assist with oversight and coordination of legal proceedings including litigation,
  • document requests, regulatory investigations and inquiries, and similar proceedings.
  • Assisting in internal investigations and collection of documentation / evidence.

Qualifications:

  • Bachelor's degree in law from an accredited law school.
  • 3-5 years of experience in an international law firm and/or in-house.
  • Experience in general contract work, transactional experience, M&A and litigation.
  • Excellent written and oral communications must be fluent in Thai and English language.
  • Strong analytical skill interpersonal skill with attention to detail and ability to meet tight deadlines.
  • Absolute integrity and discretion due to exposure to sensitive and confidential information.
