A Legal Counsel - Lending is an in-house corporate lawyer who specializes in financial transactions. They structure, draft, and negotiate loan agreements, manage security and collateral documentation, and ensure that all lending products comply with financial regulations and minimize corporate risk.
Key Responsibilities
- Transaction Structuring & Drafting: Draft and negotiate financing documents including facility agreements, term sheets, inter-creditor agreements, mortgages, and security/collateral documents.
- Regulatory Compliance: Ensure lending products and lending operations strictly adhere to local banking laws, central bank guidelines, and consumer protection frameworks.
- Risk Management & Mitigation: Review, evaluate, and provide mitigants for legal risks across various types of lending, such as corporate, leveraged, real estate, and project finance.
- Stakeholder Collaboration: Coordinate closely with credit officers, branch managers, risk teams, and external legal counsel to resolve lending queries and facilitate smooth transactions.
- Advisory & Policy: Keep management informed of new legal and market trends in the financial industry, and assist in developing internal policies and procedures.
Typical Requirements
- Education: A recognized degree in Law (e.g., LLB or LLM) along with admission to practice in the relevant jurisdiction.
- Experience: Typically 2 to 8+ years of experience in financial services, banking, or a corporate law firm with a strong focus on finance and lending.
- Skills: Excellent commercial awareness, high attention to detail, negotiation skills, and a strong understanding of secured transactions.
