Corporate Secretary, Legal, & Litigation Division Head

Our client is a financial company in Indonesia that provides consumer financing, leasing, and factoring services, mainly for motor vehicles and heavy equipment. It operates as part of a larger conglomerate and helps customers acquire vehicles and machinery.
Job Descriptions:
1. Legal Compliance
- Ensure all company activities comply with applicable laws and regulations.
- Provide legal advice and guidance to management regarding regulatory changes that may impact the company.
- Safeguard the company's legal interests.
- Identify and mitigate legal risks across the organization.
- Minimize audit findings related to legal and regulatory compliance.
2. Corporate Legal
- Ensure the company fulfills all legal obligations in accordance with its Articles of Association, including:
- Organizing the Annual General Meeting of Shareholders (AGMS).
- Preparing corporate approvals for legal transactions.
- Ensure the Articles of Association adequately support the company's operational needs.
- Coordinate with all business divisions to ensure compliance with corporate legal obligations.
- Establish and maintain relationships with external stakeholders, including: Notaries, Legal Consultants, Corporate & Litigation Lawyers, BAE, KSEI, and relevant government authorities.
- Provide legal opinions and recommendations to management.
- Coordinate with regulatory authorities, including the Financial Services Authority (OJK) and other government agencies.
3. Legal Documentation
- Ensure all important corporate documents are securely maintained and systematically documented.
- Draft, review, and manage all legal documents, agreements, and correspondence related to significant business transactions.
- Ensure all company assets are supported by complete and valid legal documentation.
- Ensure all company licenses, permits, and legal rights remain valid and up to date.
4. Litigation
- Manage and resolve both civil and criminal legal cases involving the company.
- Pursue effective dispute resolution while implementing preventive measures to minimize legal issues involving customers and other stakeholders.
5. People Development
- Establish Key Performance Indicators (KPIs) for the Legal Division.
- Plan, implement, evaluate, and develop the competencies of the Legal team.
- Conduct performance evaluations, provide coaching and constructive feedback, and motivate team members to achieve optimal performance.
Job Requirements:
- Bachelor's Degree (S1) in Law.
- Minimum 10 years of experience in Corporate Legal & Litigation within the multifinance or banking industry.
- Minimum 5 years of managerial experience.
- Strong knowledge of: Multifinance industry, Capital Markets, Corporate Secretary functions, Corporate Legal, and Litigation.
