THE IVF GUIDE PLATFORM

TERMS AND CONDITIONS

The IVF Guide is a professional community, providing fertility and healthcare professionals with the opportunity to create professional profiles to find global job opportunities or specialist project roles in the fertility and healthcare industry and to offer individualized consultations to patients (subject to prior written approval by The IVF Guide).

By signing up to join The IVF Guide professional community (the “IVF Guide Platform”), you agree to be bound by the following Terms and Conditions (the “Terms” or “Terms and Conditions”). Please ensure that you read these Terms and Conditions carefully before joining, as these Terms and Conditions constitute a legal agreement between The IVF Guide SL – Carrer Llaut, 5, Calvia, Balears, 07181, Spain (“The IVF Guide”, “we”, “us”) and you (the “Member” or “you”).

We reserve the right, at our sole discretion, to change, modify, add or remove portions of these Terms, at any time without prior notice. When we change these Terms in a material way, a notice will be posted on The IVF Guide Platform (www.platform.theivfguide.life) (the “Site”) along with the updated Terms. It is your responsibility to periodically check these Terms for changes. Your continued access of The IVF Guide Platform following the posting of changes will mean that you accept and agree to the changes. If the modified Terms are not acceptable to you, your only recourse is to terminate your Membership and cease using The IVF Guide Platform.

Any breach by you of these Terms and Conditions may result in the suspension or termination of your status as Member.

Membership Application and Use

You must be 18 years of age or older to become a Member on The IVF Guide Platform. Your application for Membership commences by your completion of a preliminary registration process found here. You must provide certain information about yourself including your legal full name, a valid e-mail address, your qualifications and any other information requested in order to complete the initial sign-up process to become a Member.

Your Membership on The IVF Guide Platform is for your sole use only and you may not share your username or password with any other person. You are solely responsible for maintaining the confidentiality and security of your login credentials. Any activities that occur under your account are your responsibility. The IVF Guide is not liable for any loss or damage resulting from your failure to safeguard your credentials.

You shall use The IVF Guide Platform in a lawful, respectful, and professional manner. You agree not to: (a) impersonate another person or use false credentials; (b) post or transmit any content that is unlawful, harmful, or infringing; (c) engage in conduct that damages the integrity or availability of The IVF Guide Platform. You may not use The IVF Guide Platform for any illegal or unauthorized purpose. You also may not use The IVF Guide Platform for direct commercial promotion, solicitation, or advertising of services prior to acceptance or misrepresent any association with The IVF Guide in any communications or media.

We reserve the right to reject, disable or terminate your Membership at any time if you provide false information, violate these Terms, or otherwise engage in conduct deemed harmful to the integrity or operation of The IVF Guide Platform.

Verified Membership

You will be required to meet certain eligibility criteria if you wish to become verified on The IVF Guide Platform. We reserve full discretion over whether a Member is accepted as a verified member on The IVF Guide Platform (once so accepted, a “Verified Member”). Until you are accepted as a Verified Member, access to The IVF Guide Platform is limited to submitting and updating your application and Member profile and corresponding with our team.

You agree to operate in accordance with all published IVF Guide policies, including those on clinical governance, data protection, complaints handling, and safeguarding. Non-compliance may result in immediate suspension or termination.

Submission of an application to become a Verified Member does not constitute a commitment by The IVF Guide to accept or list you as such on The IVF Guide Platform. All applications are reviewed manually. As part of the verification process, you may be subject to interviews or review by a professional advisory board to assess your clinical skills, communication, and suitability.

We reserve sole and absolute discretion in accepting or declining applicants, and we are not obliged to provide feedback or justification for our decisions. If accepted as a Verified Member, your continued participation remains subject to The IVF Guide’s Standards and Policies, including the right of The IVF Guide clients (“Clients’) to submit feedback and reviews, which may impact your future Membership and any potential specialist engagements.

The IVF Guide reserves the right to periodically reassess your suitability to remain a Verified Member, including by reviewing your qualifications, Patient feedback, and professional conduct.

You may not use The IVF Guide name, logo, or imply affiliation, approval, or endorsement in any way unless and until your application for Verified Membership is approved in writing. You are not authorised to promote your affiliation with The IVF Guide or represent yourself as a Verified Member until you have received our formal written approval in relation thereto.

You may voluntarily withdraw your application to become a Member (or a Verified Member) and cancel your Membership at any time by contacting us at [insert contact email].

Specialist Criteria

You must at all times meet the professional criteria published on The IVF Guide’s website and registration pages, as updated from time to time.

You are solely responsible for ensuring that your practice complies with all applicable local and international laws, regulatory requirements, and professional standards in the jurisdiction(s) in which you operate. This includes maintaining all relevant licences, registrations, certifications, and memberships required for your profession throughout the duration of your Membership.

If you meet The IVF Guide’s criteria for Clinical Embryologists, Fertility Nurses/Midwives, Reproductive Endocrinologist/Gynaecologist, Fertility Counsellors/Psychotherapists, or other fertility professionals you may be approved to provide services to The IVF Guide and its patients (“Patients”) or clients (“Clients”). Such services may include Embryology as a Service, Nursing as a Service, Physician Services, Counselling/Psychotherapy Services and Fertility Patient Services, whether onsite or remote, as you may apply for specific permanent roles for various clients of The IVF Guide.

You agree to engage in continuing professional development (CPD) annually, including completing at least one recognised course or formal training relevant to your area of fertility or IVF practice.

Once appointed to a specific self-employed role via The IVF Guide, you agree to notify The IVF Guide at least two (2) weeks in advance of any planned period of unavailability that may affect your responsiveness to Patient or Client engagements.

The IVF Guide’s Principles regarding Patient Advisory services

You will act collaboratively as a member of The IVF Guide community and agree to abide by the following principles:

• Embryologists, Fertility Nurses/ Midwives and Counsellors/Psychotherapists have an in depth understanding of medically assisted reproduction, but they are not medical doctors. As such, they are unable to offer medical advice. This includes, but is not limited to, diagnosis of disease and prescribing of medication.

• The IVF Guide does not claim that use of its services will increase a patient’s chance of pregnancy or live birth.

• If you recommend your clinic of employment to a Patient, via The IVF Guide, you must disclose to the relevant patient that you work there.

• Clinic recommendations should be based on the location of the patient, their budget and clinical/emotional requirements and The IVF Guide’s industry knowledge of reputable clinics.

• The IVF Guide will always recommend a minimum of two clinics, but usually more, to ensure impartiality. (Referral clinic recommendations are regularly audited by The IVF Guide’s management to ensure impartiality).

• The IVF Guide will attempt to negotiate a discount for each patient with their chosen clinic. However, this is only possible if such patient is not already an existing patient at that clinic and may not be possible in every instance.

• The IVF Guide works collaboratively with fertility clinics, as such, you must avoid negative or defamatory comments regarding any fertility clinic and seek to build a positive relationship with any clinic a patient selects.

• If a patient is in a position of potential harm, you will, in the first instance explain this to the patient, and raise your concern to The IVF Guide. If appropriate, you should contact the patient’s clinic (with the patient's permission).

• You will, at all times, be kind, empathetic and polite to the patient and/or the fertility provider. You will not communicate negatively regarding any clinic and will do everything in your power to ensure that patients and fertility providers have a positive experience.

The IVF Guide reserves the right to update its clinical or professional criteria, policies, and standards from time to time. You are responsible for reviewing and adhering to such updates, which will be communicated via The IVF Guide Platform or by email.

Conflicts of Interest

You agree to promptly disclose to us any actual, potential, or perceived conflict of interest that may arise in connection with your Membership. A conflict of interest includes any situation that may compromise, or appear to compromise, the independence, objectivity, or impartiality of your services or representation on The IVF Guide Platform. You shall use all reasonable endeavours to avoid situations that may give rise to a conflict of interest with your obligations to patients, other IVF Platform users, or The IVF Guide. This includes, without limitation, self-promotion that undermines The IVF Guide Platform integrity, dual roles that could impair independent clinical judgment, or financial relationships with third parties that influence referrals or listings.

We reserve the right to take appropriate action, including modifying, suspending, or removing your listing/Membership, where a conflict of interest is identified that is not adequately disclosed or mitigated to our satisfaction.

Confidentiality

You agree that during your Membership on The IVF Guide Platform, and at all times thereafter, you shall treat as confidential and shall not disclose to any third party, or use for your own benefit (other than as necessary to fulfil your obligations under these Terms), any non-public, proprietary, or confidential information which you receive or obtain in connection with your use of The IVF Guide Platform (“Confidential Information”).

Confidential Information includes, without limitation:

This obligation of confidentiality does not apply to information that:

(a) is or becomes generally available to the public other than through your breach of these Terms;

(b) is lawfully obtained from a third party who is not under an obligation of confidentiality; or

(c) is required to be disclosed by law, court order, or regulatory authority, in which case you shall, to the extent legally permissible, give prompt written notice to The IVF Guide prior to such disclosure.

You may receive secure access to The IVF Guide’s Patient Record System in which case all patient information must only be stored on such systems and in accordance with the Company’s Privacy Policy. No Patient information should be stored outside of The IVF Guide’s Patient Record System (data must not be kept on desk-tops, local drives, memory sticks or paper records).

You acknowledge that unauthorized use or disclosure of Confidential Information may cause substantial harm to The IVF Guide and/or its Clients and/or Patients, and that The IVF Guide may seek equitable relief, including injunctive relief, in addition to any other legal remedies available at law or in equity.

Non-Disparagement

You agree that during the term of your Membership and at all times thereafter, you shall not directly or indirectly make, publish, or communicate to any person or entity—whether verbally, in writing, or through any medium including social media—any defamatory, disparaging, or knowingly false statements about:


This includes, without limitation, comments that may damage the reputation, business relationships, goodwill, or public image of The IVF Guide or its associated parties.

This clause does not prevent you from:

  1. making good faith disclosures to legal, regulatory, or professional authorities where required by law;
  1. giving accurate information as part of a formal complaint to The IVF Guide, or in the context of a protected whistleblower disclosure.

Breach of this clause may result in immediate suspension or termination of your Membership, and may entitle The IVF Guide to seek legal or equitable remedies, including injunctive relief and/or damages.

Non-Compete and Non-Solicitation

During the term of your Membership and for a period of two (2) years following its termination (regardless of cause), you agree that you shall not, directly or indirectly, whether as an individual, consultant, contractor, shareholder, employee, director, or otherwise:

  1. solicit, induce, or attempt to solicit or induce any Client, Patient, Member, or partner of The IVF Guide to terminate, alter, or reduce their relationship with The IVF Guide;
  1. offer, provide, or promote services that are the same as or similar to those offered through The IVF Guide Platform to any Client or Patient introduced to you via The IVF Guide Platform, unless expressly authorised in writing by The IVF Guide;
  1. recruit, solicit, or attempt to engage any Member, consultant, or employee of The IVF Guide to join or participate in any business or activity that competes with The IVF Guide;
  1. establish or participate in a competing service that seeks to replicate or substantially compete with the core business model, services, technology, or methodology of The IVF Guide Platform.

This restriction shall apply globally, given the international scope and accessibility of The IVF Guide Platform. The IVF Guide reserves the right to waive or modify these restrictions in writing, at its sole discretion.

You acknowledge that this clause is reasonable in duration, scope, and geography, and is necessary to protect The IVF Guide’s legitimate business interests, including confidential information, goodwill, and commercial relationships. Breach of this clause may result in injunctive relief, damages, and other remedies available under applicable law.

Data Protection and Privacy

All personal data processed through The IVF Guide Platform shall be handled in accordance with applicable data protection laws in force from time to time in the United Kingdom applicable to data protection and privacy including, but not limited to, the UK GDPR (the retained EU law version of the General Data Protection Regulation ((EU) 2016/679), as it forms part of the law of England and Wales, Scotland, and Northern Ireland by virtue of section 3 of the European Union (Withdrawal) Act 2018); the Data Protection Act 2018 (and any subordinate legislation and regulations made thereunder); and the Privacy and Electronic Communications Regulations 2003 (as amended).

You agree not to access, store, or process any personal data relating to Patients, Clients, or other Members unless explicitly authorised by The IVF Guide and in accordance with these Terms, The IVF Guide Platform’s policies, and any instructions or approvals provided to you. You are not permitted to collect, use, or disclose Patient data independently of The IVF Guide Platform. Any processing of personal data outside the scope of your authorised Membership activities is strictly prohibited and may result in suspension or termination of your Membership and/or legal action.

The IVF Guide SL and Paget and Partners Ltd, as operators of The IVF Guide Platform, acts as an independent data controller in respect of any personal data it collects for the administration, referral or communication functionality of The IVF Guide Platform. Our use of personal data is governed by our Privacy Policy, which forms part of these Terms and Conditions.

As part of your Membership, you agree that The IVF Guide may use and share your professional information for the purposes of operating and promoting The IVF Guide Platform. This includes publishing your name, photograph, professional background, biography, and service details (including indicative fees, where applicable) on our website, communications, and social media channels.

You also acknowledge and agree that your professional profile may be shared internationally across The IVF Guide’s global client and member network, subject to appropriate safeguards as described in our Privacy Policy. Such sharing is necessary for facilitating referrals, promoting opportunities, and supporting the global nature of The IVF Guide Platform.

Intellectual Property Rights

You acknowledge that all rights, title, and interest in and to The IVF Guide Platform, including its content, functionality, design, underlying code, branding, trademarks, methodologies, and any related materials (collectively, “The IVF Guide Intellectual Property”), are and shall remain the exclusive property of The IVF Guide and/or its licensors. Nothing in these Terms grants you any right, title, or interest in or to The IVF Guide Intellectual Property, except for the limited right to access and use the Platform in accordance with these Terms.

You agree not to, directly or indirectly: (a) copy, modify, distribute, reproduce, or create derivative works based on The IVF Guide Intellectual Property; (b) register or attempt to register any trademark, domain name, product name, or brand that is identical or confusingly similar to The IVF Guide’s marks; or (c) use The IVF Guide’s name, logo, or branding in any manner without prior written approval, except as permitted by these Terms or with Verified Member status.

You retain ownership of any content you submit to The IVF Guide Platform, including your professional profile, biographical information, qualifications, media, and any other original material (collectively, “Member Content”). By submitting Member Content, you grant The IVF Guide a worldwide, non-exclusive, royalty-free licence to use, reproduce, modify, adapt, publish, and display such content: (a) on or in connection with The IVF Guide Platform; (b) in communications with potential Clients and Patients; and (c) in promotional and marketing materials, subject to reasonable attribution and use consistent with professional standards. This licence will continue for as long as your Member profile remains active and for a reasonable time thereafter for archival and promotional continuity, unless you request its removal in writing.

Use of AI Services

If authorised to access Patient or Client data through The IVF Guide Platform, you may only use artificial intelligence (AI)-based tools, including transcription or summarisation services, in strict accordance with The IVF Guide’s policies and approvals. You may not input any personal data, identifiable patient information, or confidential material into any AI platform, including but not limited to generative AI tools (e.g., ChatGPT, Google Gemini, or similar), unless: (a) you have received explicit written approval from The IVF Guide; and (b) the data has been fully anonymised to ensure it is not linked to any identifiable individual.

Use of AI tools hosted outside the UK (or outside an adequacy-approved jurisdiction under the UK GDPR) is strictly prohibited for processing patient or member data, unless specifically authorised and accompanied by adequate safeguards and contractual protections.

You remain responsible for verifying the accuracy, appropriateness, and confidentiality of any content created with or through the assistance of AI tools. You must not rely on AI-generated output to replace professional judgment, clinical interpretation, or any duties you owe to The IVF Guide, its Clients, or Patients.

The IVF Guide reserves the right to review your use of AI tools where applicable and to request disclosure of methods used to ensure data minimisation, anonymisation, and security.

Representations and Warranties

You represent and warrant that throughout the term of your Membership: (a) you meet and will continue to meet the eligibility and conduct requirements set out in these Terms; (b) all information you provide to The IVF Guide is, and shall remain, accurate and complete; (c) you will comply with all applicable laws, regulations, and professional standards relevant to your activities as a Member, including any requirements relating to licensure, tax, advertising, and data protection.

You further represent and warrant that you are not currently subject to any criminal investigation or professional disciplinary action, and have not previously been subject to any criminal conviction, disciplinary sanction, or regulatory investigation relating to your professional conduct, and have not had any contract terminated due to misconduct. You agree to notify The IVF Guide immediately of any change to your criminal or professional status.

Except as expressly stated in these Terms, The IVF Guide makes no representation or warranty, express or implied, regarding: (a) the availability, functionality, or accuracy of The IVF Guide Platform; (b) the success or outcome of any referrals, communications, or engagements initiated through the Platform; (c) any Member's ability to secure employment, projects, or consultation opportunities. We do not warrant that access to The IVF Guide Platform will be uninterrupted or error-free and disclaim liability for any interruptions or outages.

To the maximum extent permitted by law, we disclaim all warranties, whether express or implied, including any implied warranties of merchantability, fitness for a particular purpose, or non-infringement. The IVF Guide Platform and all content provided therein are made available on an “as is” and “as available” basis.

Each party acknowledges that, in entering into these Terms, neither of us has relied on any representation, undertaking or promise given by the other or be implied from anything said or written between us prior to entering into these Terms except as expressly set out herein.

Limitations of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW IN NO EVENT WILL:

  1. THE IVF GUIDE OR EACH OF OUR (AND THE IVF GUIDE GROUP’S) OFFICERS, DIRECTORS, EMPLOYEES, SHAREHOLDERS OR AGENTS BE LIABLE TO YOU FOR ANY INDIRECT, DIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, PUNITIVE, ACTUAL OR OTHER DAMAGES, INCLUDING, WITHOUT LIMITATION, LOSS OF REVENUE OR INCOME, LOST PROFITS, LOSS OF GOODWILL, SERVICE INTERRUPTION, COST OF SUBSTITUTE TRANSLATIONS, OR FOR ANY DAMAGES FOR PERSONAL OR BODILY INJURY OR EMOTIONAL DISTRESS SUFFERED OR INCURRED BY YOU OR ANY THIRD PARTY ARISING OUT OF OR IN CONNECTION WITH YOUR MEMBERSHIP ON THE IVF GUIDE PLATFORM OR USE OF OR INABILITY TO USE THE IVF GUIDE PLATFORM, THESE TERMS OR ANY REFERRAL OR ENGAGEMENT WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), PRODUCT LIABILITY OR ANY OTHER LEGAL THEORY, EVEN IF THE IVF GUIDE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. THE ENTIRE RISK ARISING OUT OF YOUR MEMBERSHIP ON THE IVF GUIDE PLATFORM AND ACCESS THERETO AND USE THEREOF REMAINS WITH YOU;
  2. THE IVF GUIDE BE RESPONSIBLE OR LIABLE WHATSOEVER IN ANY MANNER FOR ANY CONTENT POSTED ON OR AVAILABLE ON OR THROUGH THE IVF GUIDE PLATFORM (INCLUDING CLAIMS OF INFRINGEMENT RELATING TO THAT CONTENT), FOR YOUR USE OF THE IVF GUIDE PLATFORM, OR FOR THE CONDUCT OF THIRD PARTIES ON OR THROUGH THE IVF GUIDE PLATFORM; AND
  3. THE IVF GUIDE’S MAXIMUM AGGREGATE LIABILITY (EXCEPT FOR OUR OBLIGATIONS TO TRANSFER AMOUNTS PAYABLE TO YOU PURSUANT TO THESE TERMS) ARISING OUT OF OR IN CONNECTION YOUR MEMBERSHIP ON THE IVF GUIDE PLATFORM OR USE OF OR INABILITY TO USE THE IVF GUIDE PLATFORM, THESE TERMS OR ANY REFERRAL OR ENGAGEMENT, EXCEED THE AMOUNTS WE HAVE PAID OR OWE IN THE TWELVE (12) MONTH PERIOD PRIOR TO THE EVENT GIVING RISE TO THE LIABILITY, OR ONE HUNDRED GBP (£100), IF NO SUCH PAYMENTS HAVE BEEN MADE, AS APPLICABLE.

Indemnification

You agree to release, defend, indemnify, and hold harmless The IVF Guide, its shareholders, subsidiaries, affiliates, successors, assigns, directors, agents, service providers, suppliers, and employees (collectively, the “Indemnified Parties”) from and against any and all claims, demands, actions, liabilities, losses, damages (whether direct, indirect, incidental, special, punitive or consequential), injuries, fines, penalties, and expenses (including reasonable legal and professional fees) arising out of or relating to:

  1. your Membership or use of The IVF Guide Platform and any content or representations you provide;
  1. your provision of professional advice, care, or services to any Patient or Client through or in connection with The IVF Guide Platform;
  1. any allegation of professional negligence, malpractice, or breach of professional duty;
  1. your breach of these Terms, including any violation of applicable data protection, healthcare, or advertising laws and regulations in the jurisdiction(s) in which you operate;
  1. your failure to maintain required certifications, licences, registrations, or professional standards; or
  1. any actual or alleged infringement of third-party intellectual property, privacy, or other legal rights by you or your submitted content.

This indemnity includes, but is not limited to, claims brought by Patients, Clients, regulatory authorities, or third parties and shall survive the termination of these Terms and your Membership.

No Guarantee of Engagements or Outcomes

The IVF Guide provides The IVF Guide Platform as a professional networking and referral tool only. We do not guarantee that your Membership or profile will lead to any specific opportunities, engagements, patient consultations, income, or professional outcomes.

Acceptance as a Verified Member or listing on the Platform does not imply endorsement or assurance of referrals, placements, or demand for your services. Your participation in The IVF Guide Platform does not create any obligation on The IVF Guide to promote, prioritise, or secure engagements for you.

You acknowledge that your use of the Platform is undertaken at your own initiative and risk, and that your success on the Platform depends on multiple factors outside the control of The IVF Guide.

Performance Reviews

As part of your Verified Membership on The IVF Guide Platform, you may be subject to feedback and performance reviews from Clients following any meetings, consultations, or contractual engagements arranged through The IVF Guide Platform. By participating as a Verified Member, you acknowledge and agree that: (a) Clients may submit performance reviews and ratings in relation to your conduct, communication, professionalism, and service delivery. Such reviews form part of your ongoing assessment as a Verified Member.

In the event of a negative review or concern raised by a Client, The IVF Guide will, in the first instance, seek to engage with you to investigate the matter, and where appropriate, may offer feedback, mentoring, or training recommendations to support your improvement. If you receive two (2) or more substantiated negative reviews or complaints, The IVF Guide reserves the right to suspend or terminate your Verified Membership without further investigation or appeal. We may also delist your profile and restrict future access to The IVF Guide Platform. Following any such termination, The IVF Guide is under no obligation to reinstate your Membership or consider future applications.

Fees and Payments

The IVF Guide may charge fees for access to certain features, services, or opportunities on The IVF Guide Platform, including but not limited to premium profile enhancements, advertisement of consultations, participation in clinic packages, and access to specific job listings or projects. Any applicable fees will be clearly disclosed in advance, and your use of such features will constitute your acceptance of the applicable charges.

All payments relating to consultations, engagements, or other services conducted via The IVF Guide Platform may be processed by a third-party payment provider. By participating in such transactions, you agree to comply with the relevant terms and policies of such provider. The IVF Guide shall not be liable for any errors, delays, or issues arising from the actions or omissions of any third-party processor.

Fees for services or engagements conducted via The IVF Guide Platform will be subject to one of the following structures:

Self-Employed Fertility Provider Contracts: Fee terms will be discussed and mutually agreed in writing on a contract-by-contract basis. You may accept or decline any proposed contract.

Patient Consultations: Consultation fees will be determined by The IVF Guide. You retain the right to decline any engagement or proposed consultation.

Clinic Finder Packages: When assigned to support patients as part of The IVF Guide’s clinic finder packages, fees will be set by The IVF Guide. You are not obliged to accept such assignments.

Specialist Consulting Projects: For bespoke consulting opportunities initiated by The IVF Guide or its Clients, a written agreement specifying scope, deliverables, and fees will be confirmed in advance of any services commencing.

For all paid services conducted under your Verified Membership, The IVF Guide will provide a standard invoice template which you must complete and submit after the delivery of services. If you are VAT/GST registered (or otherwise subject to transaction taxes), you must notify The IVF Guide prior to commencing any paid contract. Failure to notify may result in payment delays or termination of your Membership.

All approved invoices will be paid within fourteen (14) days of receipt to your nominated bank account. Payments may be made in GBP, EUR, USD, AUD, or NOK, as determined by The IVF Guide. We are under no obligation to process payments in any other currency.

The IVF Guide encourages use of Revolut Business or other compatible banking platforms for seamless processing of international payments.

Tax Obligations and Self-Employment Status

You acknowledge and confirm that your participation on The IVF Guide Platform is in the capacity of an independent contractor. Nothing in these Terms shall be construed as creating an employment, partnership, joint venture, or agency relationship between you and The IVF Guide (or any of its affiliates). You are not entitled to any employment-related benefits or protections, including but not limited to holiday pay, sick pay, pension contributions, or redundancy entitlements.

As a self-employed professional, you are solely responsible for:

  1. ensuring that your activities comply with the laws and regulations of the jurisdiction(s) in which you operate, including maintaining all required registrations, professional memberships, and/or certifications;
  1. determining your obligations, reporting and paying any and all applicable income tax, national insurance contributions, social security payments, value-added tax (VAT), goods and services tax (GST) or similar taxes arising from any income earned through The IVF Guide Platform;
  1. informing The IVF Guide in advance if you are required to charge VAT, GST, or similar taxes on your services;
  1. ensuring that all tax filings, payments, and registrations required by law in connection with any income received through or in connection with The IVF Guide Platform are completed accurately and on time; and
  1. fulfilling any other statutory or regulatory obligations arising from your independent practice.

The IVF Guide does not and shall not provide tax advice or assume any responsibility for your personal or business tax affairs. If applicable, The IVF Guide reserves the right to withhold payment or terminate this Agreement if you fail to comply with your tax obligations or if required by law or regulatory guidance.

Professional Liability Insurance

The IVF Guide may provide insurance for certain contracted engagements. You must verify whether coverage applies to any specific assignment.

Anti-Money Laundering (AML) and Know Your Customer (KYC) Compliance

To ensure compliance with applicable anti-money laundering, counter-terrorist financing, anti-fraud, and sanctions laws, The IVF Guide reserves the right to conduct identity verification and screening checks on all Members before or during their participation on The IVF Guide Platform. You agree to cooperate with any reasonable request made by The IVF Guide or its authorised payment processors in this regard.

This may include, without limitation, providing:

You understand and agree that:

  1. payments may be withheld or delayed until requested documentation has been reviewed and approved;
  1. your Membership or Verified status may be suspended or terminated if you fail to provide satisfactory documentation within a reasonable time;
  1. you must not be listed on any applicable government or international sanctions list, including the UK Sanctions List, EU Consolidated Sanctions List, OFAC SDN List, or UN Sanctions List;
  1. The IVF Guide may be required to report suspicious activity to relevant authorities without prior notice or explanation to you;
  1. you shall not use The IVF Guide Platform to receive or channel payments that relate to illegal, fraudulent, or suspicious activities under applicable law.

By accepting these Terms, you represent and warrant that you are not located in, or a resident or national of, any country subject to comprehensive international sanctions and that you are not otherwise prohibited from engaging in commercial relationships under applicable AML, CTF, or sanctions regulations.

Term and Termination

Your Membership on The IVF Guide Platform commences upon successful creation of your The IVF Guide account and acceptance of these Terms. Your Membership shall remain in effect until terminated by either party in accordance with this section.

You may terminate your Membership at any time by providing written notice to The IVF Guide at [insert email]. Termination will take effect within seven (7) calendar days of receipt, or on a later date specified in your notice.

The IVF Guide may also terminate your Membership for convenience at any time, with or without cause, by providing at least seven (7) calendar days’ written notice to you via email or through The IVF Guide Platform.

The IVF Guide reserves the right to suspend or terminate your Membership immediately and without prior notice if, in our sole discretion, we determine that you have:

If your account remains inactive (i.e. no logins or engagement with the Platform) for a continuous period of twelve (12) months, The IVF Guide may, at its discretion, deactivate your profile or terminate your Membership, after reasonable attempts to contact you.

Upon the expiry or termination of your Membership for any reason:

  1. you must immediately cease all use of The IVF Guide Platform and any representations of affiliation with The IVF Guide;
  1. any pending consultations, engagements, or assignments will be cancelled unless expressly agreed otherwise;
  1. you must return (or permanently delete, where appropriate) any Company property, documents, Confidential Information, or access credentials in your possession, custody or control;
  1. you must ensure that no patient or platform-related data remains on your personal devices, cloud accounts, or storage systems. You shall confirm, in writing, that all such data has been deleted or returned;
  1. all rights granted to you under these Terms shall cease immediately, and The IVF Guide shall have no further obligation to you, including in respect of profile visibility or future referrals.

Miscellaneous

These Terms constitute the entire agreement between you and The IVF Guide and supersede any prior agreements, understandings, or representations, whether oral or written, relating to the subject matter herein.

If at any time any provision of these Terms shall be held to be illegal, void, invalid or unenforceable in whole or in part by any court or administrative body in any jurisdiction, then such provision shall be enforced to the maximum extent permissible so as to affect our intent and (a) to the extent that it is illegal, void, invalid or unenforceable be given no effect and shall be deemed not to be included in these Terms; and (b) not affect or impair the legality, validity or enforceability in that jurisdiction of any other provision of these Terms; or the legality, validity or enforceability under the law of any other jurisdiction of such provision or any other provision of these Terms; and we shall use all reasonable endeavours to replace such a provision with a valid and enforceable substitute provision which carries out, as closely as possible, the intentions of these Terms.

Our rights and remedies shall not be affected by any failure by us to exercise or delay in exercising any right or remedy or by the giving of any indulgence to you or by anything whatsoever except a specific waiver or release in writing by a duly authorized representative of The IVF Guide and any such waiver or release shall not prejudice or affect any other rights or remedies we may have. No single or partial exercise of any right or remedy shall prevent any further or other exercise thereof or the exercise of any other right or remedy.

The IVF Guide shall not be liable for any delay or failure to perform its obligations under these Terms where such delay or failure is caused by events beyond its reasonable control, including but not limited to acts of God, natural disasters, pandemics, epidemics, war, civil unrest, terrorism, labour disputes, governmental or regulatory actions, power or internet outages, cyberattacks, or other events that are unforeseeable and unavoidable.

Any provisions of these Terms which by their nature are intended to survive termination (including but not limited to clauses on confidentiality, data protection, intellectual property, limitations of liability, indemnification, and dispute resolution) shall remain in full force and effect following termination.

You may not, without The IVF Guide's prior written consent, assign or transfer these Terms, by operation of law or otherwise. Any attempt by you to assign or transfer these Terms, without such consent, shall be ineffective. The IVF Guide may assign or transfer these Terms, at its sole discretion, without restriction. Subject to the foregoing, these Terms will bind and inure to the benefit of the parties, their successors and permitted assigns.

These Terms do not and are not intended to confer any rights or remedies upon any person other than you and The IVF Guide.

Nothing herein is intended, nor should be construed, to create a partnership, joint venture, agency, franchise, sales representative, or employment relationship between us. You shall not enter into any contract or commitment with third parties as agent for or on our behalf; describe or present yourself as such an agent or in any way hold yourself out as being such an agent; or act on our behalf or represent us in any manner, or for any purpose.

Any notices or other communications permitted or required hereunder, including those regarding modifications to these Terms, will be in writing and given by The IVF Guide (i) via e-mail (in each case to the address that you provide) or (ii) by posting to The IVF Guide Platform. All notices given by you to us must be sent to us at [INSERT]. For notices made by e-mail, the date of receipt will be deemed the date on which such notice is transmitted.

To the fullest extent permitted by law, these Terms and any disputes, controversies or claims (collectively, “Disputes”) arising out of, or in connection with, its subject matter are governed by and construed in accordance with the laws of England and Wales without regard to its conflict-of-law provisions.

You agree that any Disputes arising out of or in connection with these Terms, including any question regarding their existence, validity or termination, shall be referred to and finally resolved by arbitration under the Rules of the London Court of International Arbitration (LCIA), which Rules are deemed to be incorporated by reference into this clause.

Nothing in this clause shall limit The IVF Guide’s right to seek interim or injunctive relief in any competent court.

Any claim or cause of action arising out of or related to these Terms must be filed within one (1) year after such claim or cause of action arose, or it shall be forever barred.
