Position Overview

The General Counsel (GC) serves as the organization's chief legal advisor and is responsible for overseeing all legal, regulatory, compliance, governance, and risk management matters. The General Counsel provides strategic legal guidance to executive leadership and the Board, ensuring that the organization operates in compliance with applicable laws and regulations while protecting its legal interests, reputation, and assets. The role is instrumental in supporting business growth, corporate transactions, governance, and risk mitigation initiatives.

Key Responsibilities

Legal Strategy & Advisory

  • Serve as the principal legal advisor to the CEO, executive leadership team, and Board of Directors.
  • Provide legal counsel on strategic business initiatives, corporate transactions, and operational matters.
  • Interpret laws, regulations, and legal developments affecting the organization.
  • Ensure legal considerations are integrated into business decision-making processes.

Corporate Governance

  • Advise the Board and senior management on corporate governance matters and fiduciary responsibilities.
  • Ensure compliance with corporate governance standards and best practices.
  • Support Board meetings, committee activities, resolutions, and governance documentation.
  • Maintain corporate records and governance frameworks.

Regulatory Compliance & Risk Management

  • Oversee compliance with applicable laws, regulations, industry standards, and internal policies.
  • Develop and maintain legal and regulatory compliance programs.
  • Identify, assess, and mitigate legal and regulatory risks.
  • Partner with risk management, compliance, and internal audit functions.

Contract Management & Commercial Transactions

  • Oversee the drafting, review, negotiation, and management of contracts and legal agreements.
  • Support commercial transactions, partnerships, procurement agreements, and vendor relationships.
  • Ensure contractual arrangements protect organizational interests and minimize risks.
  • Provide guidance on contract disputes and interpretation.

Litigation & Dispute Resolution

  • Manage litigation, arbitration, mediation, and dispute resolution matters.
  • Coordinate external legal counsel and litigation strategy.
  • Assess legal exposure and develop risk mitigation plans.
  • Ensure timely and cost-effective resolution of legal disputes.

Mergers, Acquisitions & Corporate Transactions

  • Support mergers, acquisitions, divestitures, joint ventures, and strategic partnerships.
  • Lead legal due diligence and transaction structuring efforts.
  • Review transaction documentation and regulatory requirements.
  • Support post-transaction integration activities.

Employment & Labor Law

  • Advise on employment law, labor relations, workplace investigations, and employee matters.
  • Support HR in developing policies and resolving employment-related issues.
  • Ensure compliance with labor regulations and workplace standards.

Intellectual Property & Data Privacy

  • Protect the organization's intellectual property, trademarks, copyrights, and proprietary information.
  • Oversee data privacy, cybersecurity, and information governance legal matters.
  • Ensure compliance with applicable privacy and data protection regulations.

Stakeholder Management

  • Liaise with regulators, government agencies, external counsel, and industry associations.
  • Represent the organization in legal negotiations and regulatory discussions.
  • Build strong relationships with internal and external stakeholders.

Leadership & Team Development

  • Lead and mentor legal, compliance, and governance teams.
  • Develop legal department strategies, budgets, and performance objectives.
  • Foster a culture of integrity, accountability, and legal excellence.

Qualifications

  • Juris Doctor (JD), LLB, or equivalent law degree from an accredited institution.
  • Admission to practice law in at least one relevant jurisdiction.
  • 12–15+ years of legal experience, including senior leadership responsibilities.
  • Experience in corporate law, commercial transactions, regulatory compliance, governance, and risk management.
  • Prior in-house counsel or executive legal leadership experience preferred.
