About the job Company Secretary

Responsibilities:

Ensure compliance with relevant legislation and regulations (e.g. Companies Act)

Maintain statutory registers and records

Prepare and file annual returns and other regulatory documents

Arrange and coordinate board meetings, AGMs, and committee meetings
-
Draft and circulate agendas, minutes, resolutions, and other corporate documents
-
Advise the board on corporate governance best practices

Act as the liaison between the board, shareholders, and regulatory bodies

Support directors with governance obligations and training
-
Monitor and manage company policies and procedures

Safeguard corporate records and legal documents
Requirements:

Relevant tertiary qualification in Law, Corporate Governance, or related field

Chartered Secretary (CGISA/ICSA) qualification is highly advantageous
-
3+ years experience in a company secretarial or corporate governance role

Strong knowledge of the Companies Act and other corporate legislation

Excellent communication and report-writing skills

High attention to detail and accuracy

Ability to manage confidential information with discretion

Strong organizational and time management skills

Proficiency in MS Office (especially Word, Excel, and Outlook)

Ability to work independently and under pressure
