About the job Head of Legal & Corporate Secretary
We are looking for a highly strategic Legal Corporate Secretary to oversee corporate governance and legal compliance for a prominent, publicly listed organization based in Jakarta.
ABOUT THE CLIENT
Our client is a leading local company listed on the Indonesia Stock Exchange (Tbk) and fully regulated under OJK. They offer a stable, high-growth corporate environment built on strong governance, transparency, and operational excellence.
WHAT YOU WILL DO
In this role, you will hold ultimate accountability for ensuring the group strictly adheres to all OJK, IDX, and corporate law regulations while safeguarding the company's legal and commercial interests.
- Capital Markets & Public Compliance: Manage all statutory obligations for a public company (Tbk), including organizing AGMS/EGMS (RUPS), preparing annual reports, and ensuring timely, transparent public disclosures to OJK and IDX.
- Corporate Governance: Act as the primary advisor and liaison to the Board of Directors (BOD) and Board of Commissioners (BOC) regarding their legal duties, compliance risks, and corporate governance best practices.
- Legal Operations & Commercial: Oversee the drafting, reviewing, and negotiation of complex commercial contracts, joint ventures, and licensing agreements across procurement, manufacturing, and logistics divisions.
- Regulatory Liaison: Serve as the official corporate representative to government institutions, regulatory bodies, shareholders, and public capital market authorities.
WHAT WE ARE LOOKING FOR
- Experience: 10-15 years of progressive corporate legal experience, with at least 3–5 years serving as a Corporate Secretary or senior legal compliance lead within a Publicly Listed Company (Tbk) in Indonesia.
- Industry Background: Prior experience in manufacturing, food and beverage, or large-scale distribution/logistics industries is highly advantageous.
- Technical Depth: Expert-level knowledge of Indonesian Corporate Law, OJK (Otoritas Jasa Keuangan) regulations, IDX listing rules, and capital market compliance frameworks.
- Credentials: Bachelor's or Master's degree in Law (Hukum) from a reputable university. Holding a Corporate Secretary certification or formal capital market legal training is highly preferred.
- Soft Skills: Exceptional communication, diplomacy, and presentation skills, with the ability to maintain absolute confidentiality and manage relations with high-level stakeholders.
