Lead of Project Legal & Foreign Investment Team
Location: Cau Giay, Hanoi
I. JOB SUMMARY AND OBJECTIVES
The Lead of Project Legal & Foreign Investment Team is responsible for the company's legal affairs and takes charge of consulting and implementing the entire legal process in M&A transactions, such as: project buying and selling, share transfers, corporate restructuring, and internal corporate legal consultation.
This role leads legal activities to ensure progress, control risks, and support the investment strategy for the Company and its Japanese clients in Vietnam.
II. KEY RESPONSIBILITIES
1. Legal Team Lead Responsibilities
- Responsible for executing all legal operations related to the Company and client companies.
- Drafting and editing legal dossiers for the announcement of imported products for clients (in the Food, Functional Food, and related sectors).
- Responsible for drafting contracts, documents, and transaction dossiers. Controlling the legal validity of documents and contracts issued and signed by the Company.
- Researching laws, decrees, and circulars related to the Company's business sector.
- Providing legal advice on matters related to the Company's business operations to the Board of Directors and department heads.
- Performing licensing procedures for the Company and clients in accordance with legal regulations.
- Preparing the Company's legal documents. Checking, amending, and finalizing legal norms, issued documents, and transaction documents to ensure compliance with corporate law, labor law, and other State regulations.
2. M&A Consulting Responsibilities
a/ M&A Transaction Strategy Consulting
- Consulting and supporting investors in selecting target projects/companies (for the buyer) or strategic partners/shareholders (for the seller).
- Advising on M&A methods for projects compliant with legal regulations (project purchase/sale/transfer, share purchase in the project company, investment cooperation for project execution).
b/ Due Diligence and Legal Risk Assessment
- Performing legal due diligence on the company's dossiers and reporting legal risks related to M&A transactions. Preparing the Legal Due Diligence Report for the project and proposing risk handling plans.
c/ Drafting, Negotiating Contracts and Legal Dossiers
- Consulting, supporting negotiation, and drafting M&A contracts and agreements for the project.
- Consulting, supporting legal procedures in conducting project M&A (change of investment registration, change of project enterprise registration post-M&A).
- Consulting, supporting negotiation, and drafting M&A contracts and agreements for the project.
d/ Implementation Management and Post-M&A Restructuring
- Consulting on restructuring, re-arrangement, and implementation of business operations post-M&A.
- Coordinating with relevant departments and partners during the implementation process.
- Other tasks as assigned by the direct supervisor.
III. REQUIREMENTS
- Education: University degree or higher in Law.
- Experience: At least 4 years of experience in a similar position.
- Experience working with foreign investors or consulting related to investment law (investment law, corporate, land, construction).
- Preferable: Candidates with consulting experience or participation in M&A transactions.
- Knowledge: Proficient understanding and application of legal regulations related to Real Estate business, civil transactions, and construction.
- Candidates can use English fluently at work
