PRIMARY PURPOSE OF THIS POSITION:
Provide expert legal advice and company secretarial services to the Board, Sub-Committee and Executives, ensuring that Namdock maintains a high standards of corporate governance. You will manage governance administration and serve as secretary during Executive, Board Sub-Committee, Board meetings and other key meetings within the Office of the Chief Executive Officer, ensuring accurate records and compliance with governance protocols. A critical part of this role's responsibilities will be to establish and uphold excellence in legislative compliance and corporate governance practices, with the purpose of minimising risk to Namdock. You will also oversee the implementation and monitoring of compliance frameworks, governance policies, and procedures across the organisation, ensuring that all practices align with regulatory requirements and corporate standards. Provide expert legal advice to the Board of Directors, Executive Committee, and Management on a wide range of matters, including corporate governance, commercial transactions, and labour relations.
KEY PERFORMANCE AREAS:
- Maintaining and strengthening corporate governance frameworks.
- Delivering effective administrative services to support governance processes.
- Ensuring full regulatory and legislative compliance.
- Managing Board meetings and administration, including agendas and minutes.
- Providing advisory services to the Board of Directors and Executive members
- Overseeing governance and compliance services for subsidiary companies
- Managing corporate administration functions across the organisation
- Establishing, maintaining, and monitoring the Company Risk Register to identify, assess, and mitigate organisational risks.
- Maintain and actively participate in safety, security, health, and environmental initiatives to support a safe and sustainable workplace.
- Provide guidance and advisory services on compliance matters, ensuring that all governance and operational practices align with regulatory requirements and corporate governance standards.
TECHNICAL COMPETENCIES
- Ability to understand and interpret Shareholder and Board Policies, plans, strategies, and directives, and proactively integrate them into Namdock's strategies and policies.
- Provide accurate, relevant, and appropriate statutory and governance advisory services to the Board and Management.
- Formulate governance and legislative‑related policies and plans.
- Comprehend issues tabled for Board consideration and provide additional information or clarification when required.
- Interpret legislation effectively and communicate implications clearly.
- Influence policies and plans, translating them into business recommendations and solutions.
- Act as a high‑level governance specialist, functioning independently with minimal supervision.
- Demonstrate the ability to work under pressure while maintaining accuracy and professionalism.
- Strong report writing skills with attention to detail.
- Identify and solve problems effectively and efficiently.
- Build and maintain a close professional network to access expert advice when as required Facilitate Board and Committee evaluations and recommend improvement actions.
- Requires a strong commitment to integrity, accountability, and professionalism, as this role contribute directly to safeguarding Namdock's reputation and strengthening its governance culture.
QUALIFICATIONS AND EXPERIENCE REQUIRED
- Bachelor's Degree or Bachelor with Honours in Law (NQF Level 7 or 8).
- Admission as a Legal Practitioner of the High Court of Namibia.
- Minimum of 8 years' relevant experience in a corporate legal or company secretarial environment,
- with at least 5 years at middle management level.
- Proven experience in developing legal frameworks, standards, policies, procedures, directives, and agreements.
- Strong background in statutory and corporate compliance requirements.
- Postgraduate in Conciliation and arbitration will be an advantage.
- Valid Driver's License (Code B).
