Are you an experienced corporate secretarial professional looking to make a significant impact?
Join our client's esteemed property development company, listed on the SGX main board, and play a crucial role in ensuring compliance and supporting corporate governance.
Key Responsibilities:
- Board and Committee Support: Prepare for Board and Board Committee meetings, including maintaining minutes books, resolutions, statutory records, and SGX announcements.
- Compliance: Ensure adherence to the Companies Act, Listing Manual, and other relevant legislation for approximately 40 Singapore and overseas subsidiaries. Proficiency in IPT and share buyback matters is essential.
- Annual Report: Update and revise the corporate secretarial sections of the Annual Report for dissemination to shareholders and relevant parties (e.g., SGX-ST, Directors, Share Registrar).
- Dividend Management: Script dividends and manage related communications.
- Shareholder Communication: Draft letters to shareholders regarding share buyback and IPT mandates.
- AGM/EGM Organization: Collaborate with other departments to organize Annual General Meetings (AGM) and Extraordinary General Meetings (EGM).
- Liaison: Work with external local and overseas corporate secretarial providers to ensure timely lodgment of statutory returns and preparation of resolutions and filings required by subsidiaries in various countries.
- Departmental Support: Provide support to other departments by obtaining business profiles, statutory information, group structure data, and legal documents. Assist with routine administrative matters for the Legal & Corporate Secretarial Department as needed.
Requirements:
- ICSA (WIP or Graduate), ACIS, or Law Diploma.
- 8-10 years of experience in corporate secretarial matters, preferably in a listed company, law firm, corporate service provider, funds, or financial institution.
- Strong understanding of the Companies Act, SGX Listing Manual, Code of Corporate Governance, and commercial practices.
- Ability to work cooperatively across departments and with numerous stakeholders.
- Resourceful, independent, and meticulous.
