R77 Global is proud to exclusively support our client, a fast-growing professional services firm based in Malta, in their search for an experienced Corporate & Commercial Lawyer to join the Legal & Compliance division.

This role is ideal for a senior legal professional who wants ownership of strategic legal functions across both internal operations and client mandates. You will work closely with senior leadership, compliance officers and external counsel on a broad range of corporate, commercial and regulatory matters, with particular emphasis on private M&A, joint ventures, asset purchases, corporate governance and restructuring.

Key Responsibilities

Transactions & Corporate Advisory

• Lead and execute private M&A mandates (share and asset purchases), from term sheets and due diligence through to signing, closing and post-completion integration.
• Structure and negotiate joint ventures, strategic alliances and shareholder arrangements, including SHAs, JV agreements and governance mechanics.
• Advise on corporate restructuring (intra-group re-organisations, re-domiciliations, capital maintenance, buy-backs, reductions, conversions and mergers).
• Provide day-to-day corporate advisory on the Companies Act (Cap. 386), board and shareholder matters, capital changes, distributions and directors duties.
• Prepare, review and negotiate core transaction documents: SPAs, APAs, SHAs, investment/subscription agreements, warranties and indemnities, escrow and earn-out provisions, and ancillary corporate approvals.
• Manage legal due diligence workstreams and data rooms; coordinate with tax, finance and regulatory specialists; support regulatory/competition filings where applicable.

Governance & Company Secretarial Oversight

• Design and enhance corporate governance frameworks, board calendars, committee charters and policies.
• Oversee statutory compliance and MBR filings; ensure accuracy and completeness of minute books, registers and resolutions.
• Deliver board-level briefings on legal risk, upcoming regulatory changes and best practice governance.

Commercial Contracts (Multi-Industry)

• Draft, review and negotiate a wide range of commercial contracts across technology, gaming, fintech, payments and professional services, including MSAs, SaaS/technology and licensing agreements, supplier/procurement, distribution, franchising, outsourcing and service-level arrangements.
• Ensure contracts are aligned to business objectives, risk appetite and compliance requirements (including data protection and financial services obligations where relevant).

Intellectual Property

• Advise on IP strategy in corporate and commercial contexts, including trademark and copyright protection, assignments, co-existence agreements and IP licensing.
• Support brand and content protection programmes; coordinate with IP agents on filings and portfolio management.

Regulatory & Risk

• Monitor legal and regulatory developments; produce concise impact assessments and playbooks for internal teams and clients (corporate, AML, tax and sector-specific items).
• Conduct legal risk assessments on business transactions, company formations and cross-border deals; collaborate with external counsel on complex, multi-jurisdictional issues and contentious matters when required.

Internal Enablement

• Maintain and improve the suite of templates, policies, procedures and checklists; deliver training to commercial and operations teams.
• Partner with leadership on strategic initiatives, operationalising legal support for growth, partnerships and new market entry.

Requirements

• Masters degree in Law (LL.M. or equivalent); licensed to practise in Malta (or in the process of obtaining such).
• 8+ years post-qualification experience in corporate and commercial law, including hands-on exposure to private M&A, JVs and asset deals.
• Demonstrable strength in corporate governance, Companies Act advisory, and restructuring projects.
• Solid track record drafting/negotiating SPAs, APAs, SHAs, JV agreements, investment documents and complex commercial contracts.
• Working knowledge of IP (assignments, licensing, brand protection) and data protection considerations in commercial arrangements.
• Prior exposure to the gaming, technology, fintech or payments sectors is an advantage.
• Excellent drafting, negotiation and stakeholder management skills; confident operating independently and within cross-functional teams.
• Proficiency with Microsoft Office, CRM tools and legal research platforms.
